  • For the six months, revenue was $1,334.0 million, up 4.5%; operating income was $178.1 million, up 14.6%; and net income attributable to Belden was $131.9 million versus $94.4 million. The prior-year period included Tripwire discontinued-operation and disposal losses.
  • Q2 revenue growth reflected higher volume and favorable pricing, partly offset by lower copper pass-through pricing and currency translation. Gross-margin expansion reflected revenue growth and favorable product mix.
  • SG&A and R&D increased, which management attributed mainly to strategic investments in solution selling, product offerings, and growth initiatives, as well as acquisitions.

Cash, liquidity, and debt

  • Six-month operating cash flow was $54.7 million, versus an $8.6 million use in the prior-year period. Receivables used $71.2 million of cash; inventory contributed $10.3 million. Capital expenditures were $32.7 million.
  • Cash was $514.8 million at July 2, 2023, down $172.9 million from year-end. Investing used $121.0 million, including $97.6 million for Sichert; financing used $105.9 million, including $86.2 million of share repurchases.
  • Long-term debt had a carrying value of $1,187.2 million; senior subordinated notes had $1,199.0 million principal outstanding. No revolver borrowings were outstanding, and available capacity was $291.2 million. Management said liquidity and expected operating cash generation were sufficient for current needs, but a significant acquisition could require external financing.
  • Current assets were $1,436.5 million and current liabilities $567.8 million. Cash held outside the U.S. was $219.0 million.

Material changes and transactions

  • Belden acquired Sichert, a German maker of cabinets used in PON and 5G networks, for $97.5 million net of cash acquired. The preliminary purchase-price allocation included $52.6 million of amortizable intangibles and $27.8 million of goodwill.
  • Belden sold its 51% interest in the Hite joint venture for $0.9 million and recorded a $0.4 million pretax gain; up to $0.6 million of earnout payments are possible.
  • The board authorized an additional $300 million of share repurchases in April. Belden repurchased $86.2 million of shares during the first half; $278.8 million remained authorized at July 2. The quarterly dividend was $0.05 per share.
  • Interest expense declined year over year, partly because Belden retired its 2026 notes in 2022. The prior-year six-month results included a $6.4 million debt-extinguishment loss.

Outlook, risks, and contingencies

  • The filing provides no specific near-term quarterly revenue or earnings guidance. Management’s stated longer-term goals include organic revenue growth above GDP, incremental Adjusted EBITDA margins of approximately 30%, approximately $1 billion of cumulative free cash flow from 2022–2025, net leverage near 1.5x, and Adjusted EPS of at least $8.00 by 2025. These are goals, not guarantees.
  • Management identified foreign-exchange movements, inflation, commodity prices—particularly copper—and channel inventory as factors that can affect results. About 43% of Q2 revenue was to customers outside the U.S.
  • Belden retained guarantees on Grass Valley property leases with approximately $23 million of fixed payments remaining; following defaults on two leases, it recorded an $8.2 million liability based on assumptions including expected sublease income.
  • Management said pending routine litigation and recorded environmental and legal contingencies were not expected to have a material adverse effect, while noting litigation outcomes remain uncertain. No material risk-factor changes were reported from the 2022 Form 10-K.

Investor facts to verify

  • Whether volume, pricing, and favorable mix can sustain margin gains as copper pass-through revenue and currency effects fluctuate.
  • Cash conversion and working-capital trends, particularly receivables and the ability to convert earnings into cash.
  • Sichert integration, final purchase accounting, and the expected contribution from its PON and 5G products.
  • Assumptions and potential exposure behind the Grass Valley lease-guarantee liability.
  • Capital allocation and progress toward management’s leverage, cash-flow, and 2025 Adjusted EPS goals.
