Revenue fell 8.7% year over year. Property Management revenue declined 13.6% to $24.5 million, primarily on fewer billed hours. Professional revenue declined 5.7% to $44.2 million; Arroyo Consulting contributed $5.4 million, while the rest of the Professional business declined 17.2%, reflecting weaker IT and Finance & Accounting consultant demand. Gross profit fell 12.5%, and both segments’ gross margins decreased.
Q1 2023 included a $22.5 million impairment related to the decision to discontinue certain trade names; there was no comparable impairment in Q1 2024. This accounts for much of the difference in reported operating and net losses between periods. Despite lower revenue and gross margin, Adjusted EBITDA declined to $2.7 million from $4.3 million. The company says this non-GAAP measure is not a substitute for GAAP results or cash flow.
Balance sheet, debt, and liquidity
- At March 31, 2024, cash was $0.05 million, accounts receivable $52.4 million, total assets $170.6 million, and total liabilities $87.0 million.
- Working capital was $32.1 million, versus a deficit of $18.1 million at December 31, 2023. The company attributes the shift in part to its March refinancing and reclassification of debt from current liabilities.
- Debt included $20.0 million drawn on the revolving facility, $34.0 million of term debt, and a $4.4 million convertible seller note. The revolving facility has a $40 million commitment; the company also has a $4.3 million delayed-draw term loan commitment. The new credit agreement matures March 12, 2028, bears variable rates, is secured by substantially all company assets, and includes leverage and fixed-charge-coverage covenants. BGSF reported covenant compliance at quarter-end.
- The convertible note bears 6% interest, is due December 12, 2024, and is convertible at $17.12 per share under the stated terms. The filing does not clearly state remaining availability under the revolving facility after considering all facility usage and restrictions.
- Cash used for dividends was $1.6 million in Q1. On May 8, 2024, the company announced an indefinite suspension of quarterly dividends, effective with the dividend otherwise expected in May.
Outlook, risks, and notable developments
- Management believes operating cash flow and revolving-credit borrowing availability will meet normal working-capital needs for at least 12 months, including planned new-market investments. This is subject to economic and other factors; additional growth opportunities could require financing.
- Management cites macroeconomic weakness, inflation and interest rates as pressures that may reduce workforce-solution demand, lengthen hiring decisions, increase early terminations, or diminish projects. First-quarter seasonality includes winter-weather effects and payroll-tax resets; Property Management demand typically rises in Q2 and peaks in Q3.
- Variable-rate revolving and term debt exposes earnings and cash flows to higher interest rates. Other disclosed risks include obtaining qualified talent and workers’ compensation coverage, labor-law compliance, competition, customer demand, and the ability to refinance or repay debt.
- On May 8, 2024, the Board announced a review of strategic alternatives and engaged Houlihan Lokey. No timetable or definitive course of action had been set; there is no assurance a transaction will result or be completed on favorable terms.
- Q1 included a $0.6 million provision for credit losses, versus $0.1 million a year earlier; the allowance for credit losses was $0.8 million at quarter-end. Arroyo Consulting, acquired in April 2023, contributed $5.4 million of Q1 revenue and $1.4 million of operating income, including $0.4 million of acquisition-intangible amortization.
- The filing reports no change from the 2023 Form 10-K legal-proceedings disclosure and no material control changes; management concluded disclosure controls were effective at a reasonable-assurance level.
