  • Sales rose 8% in Q2 and 9% in the first half. Consumer Foods sales increased 4% in each period; Commercial Foods sales increased 16% in Q2 and 17% in the first half.
  • Q2 Consumer Foods operating profit fell 8% to $256.3; first-half profit fell 7% to $452.5. Higher commodity costs outpaced pricing, partly offset by supply-chain savings.
  • Q2 Commercial Foods operating profit increased 26% to $160.8; first-half profit increased 7% to $258.3, supported by Lamb Weston volume and pricing and favorable flour-milling conditions.
  • Cost of goods sold was $2,646.6 in Q2 versus $2,387.5 a year earlier. Calculated gross margin was approximately 22.3%, down from 24.1% in the comparable quarter.
  • Q2 income from continuing operations included $11.5 of equity-method earnings. The effective tax rate was approximately 33% for Q2 and 34% for the first half.

Cash flow, balance sheet and liquidity

  • First-half operating cash flow was $489.9, including $487.5 from continuing operations, compared with total operating cash flow of $319.1 a year earlier. Capital expenditures were $160.5; investing cash outflow was $212.3.
  • Financing cash outflow was $533.0, including $348.1 of debt repayments, $189.7 of dividends paid and $84.0 of share repurchases. Cash declined $265.9 to $706.5 from fiscal year-end.
  • At November 27, 2011, current assets were $4,007.8 and current liabilities $2,343.1; long-term debt, including current installments, was approximately $2.9 billion. Total liabilities were $6,790.7.
  • The company repaid $342.7 of 6.75% senior notes at maturity in September. It had no borrowings under its new $1.5 billion revolving facility, due September 2016, and reported compliance with its covenants.
  • Management said existing cash, operating cash flows, credit facilities and capital-market access should cover working capital, planned capital expenditures and anticipated dividends for at least 12 months. Fiscal 2012 capital expenditures were estimated at approximately $450.

Changes, outlook and notable items

  • Profit and EPS declined despite sales growth. Higher input costs, restructuring charges, higher corporate expenses and the prior-year comparison—including substantial payment-in-kind note interest income—affected comparability.
  • Q2 and first-half results included approximately $16 and $40 of restructuring charges, respectively, versus approximately $5 and $13 in the prior-year periods. The Administrative Efficiency Plan was expected to cost approximately $20; the Network Optimization Plan approximately $75 through fiscal 2013. The 2010 restructuring plan was completed in the first half.
  • Subsequent to quarter-end, ConAgra acquired majority control of AgroTech Foods, with consolidation expected to begin in Q3 and an anticipated approximately $59 gain from remeasuring its existing interest. It also acquired National Pretzel Company for approximately $296 plus assumed liabilities.
  • In December 2011, the board increased the share-repurchase authorization by $750, leaving approximately $784 available. The first-half filing reports repurchases of approximately 4 million shares for $95.
  • Management cited raw-material availability and prices, pricing effectiveness, competition, execution of restructuring and cost-saving plans, acquisition integration, capital access, regulation and product recalls as risks. Wal-Mart represented approximately 18% of sales in both Q2 and the first half.
  • Contingencies include $70.7 of reserves for Beatrice-related environmental matters, expected to require expenditures for up to 19 years, and various litigation and guarantees. Management did not expect the matters described to have a material adverse effect, but noted some outcomes cannot be estimated.
  • Commodity, currency and interest-rate exposures are managed partly through derivatives. Interest-rate swaps tied to anticipated 2014 debt issuance had a $500 notional amount and an unrealized loss of $139.4 in accumulated other comprehensive loss.

Key facts for investors to verify

  • Whether pricing and cost-saving actions can recover higher commodity costs without further meaningful volume pressure.
  • Whether Commercial Foods’ profit growth and Consumer Foods’ margin performance persist in subsequent quarters.
  • Actual restructuring costs, timing and savings, and progress integrating the post-quarter acquisitions.
  • Cash conversion and working-capital needs, especially inventory levels, alongside capital spending, dividends and repurchases.
  • Debt refinancing and interest-rate exposure, the significant retail-customer concentration, and developments in environmental, product-related and other contingencies.
