CALIX, INC annual report, FY2014

Calix, Inc. — FY2014 Form 10-K

Reporting period: Fiscal year ended December 31, 2014; the filing also provides unaudited fourth-quarter results. Calix supplies broadband access hardware and software to communications service providers (CSPs), reporting as one segment. This is an annual report, not a standalone quarterly filing.

Financial performance

MetricFY2014FY2013
Revenue$401.2 million$382.6 million
Gross profit / margin$177.8 million / 44%$171.1 million / 45%
Operating loss$20.4 million$18.5 million
Net loss$20.8 million$17.3 million
Net loss per share, diluted$0.41$0.35
Cash provided by operations$38.1 million$40.8 million
  • Revenue increased 5% year over year; management attributed growth to stronger bookings and shipments across territories and recognition of revenue on accepted stimulus-funded projects.
  • Fourth-quarter revenue was $111.6 million, versus $94.0 million in Q4 2013. Gross profit was $51.4 million versus $40.0 million; operating loss was $2.9 million versus $8.1 million; net loss was $3.0 million versus $6.5 million.
  • Annual gross margin declined to 44% from 45%, principally reflecting $5.8 million of inventory write-downs in 2014, compared with $1.4 million in 2013. The company said higher-margin product mix partly offset lower-margin RUS contract revenue and write-downs.
  • Operating expenses rose to $198.2 million from $189.5 million. Sales and marketing expense increased 12% to $76.3 million; R&D increased 1% to $80.3 million. Calix continued to report annual and cumulative losses, with an accumulated deficit of $530.6 million.

Liquidity, cash flow and debt

  • At year-end, cash and cash equivalents were $48.8 million and marketable securities were $62.9 million, totaling $111.7 million; working capital was $131.7 million. Cash and equivalents alone fell from $82.7 million, largely as Calix invested in marketable securities.
  • Operating cash flow was positive at $38.1 million, down from $40.8 million. Investing activities used $75.4 million, including $63.5 million of net marketable-security purchases and $12.0 million of capital expenditures. Financing activities provided $3.6 million.
  • No borrowings were outstanding under the $50 million revolving credit facility; the full amount was available at year-end. The facility matures in July 2016, subject to possible extensions, and is secured by substantially all company assets. Calix reported compliance with its financial covenants.
  • Total liabilities were $97.6 million. The company cited $36.6 million of operating-lease obligations and non-cancelable purchase commitments, including $24.8 million due within one year.

Changes, outlook and key risks

  • Revenue growth slowed to 5% in 2014 from 16% in 2013. Net loss widened, and annual gross margin decreased one percentage point. Operating cash flow also declined modestly.
  • CenturyLink accounted for 23% of 2014 revenue, down from 26% in 2013. U.S. customers generated 88% of revenue; international revenue was 12%.
  • Management expected revenue to grow as it expanded internationally and added customers, and expected operating expenses to increase in dollars but decline as a percentage of revenue over time. The filing does not provide specific numerical revenue or earnings guidance.
  • Management expected revenue from ARRA-funded projects to decline in 2015 as projects approached their June 30, 2015 completion deadline. Revenue timing can also be affected by customer acceptance and deferred recognition on RUS-funded contracts.
  • Major business risks include CSP capital-spending volatility, intense competition, long sales cycles, customer concentration and the absence of committed-volume contracts. Calix also depends on contract manufacturing, principally Flextronics, and certain sole- or limited-source components.
  • The ongoing Occam acquisition-related class action remained unresolved. Trial was scheduled to begin April 20, 2015. Calix recorded approximately $1.0 million of additional legal fees and associated expenses for 2014; potential indemnification exposure could exceed insurance, and the company said it could not quantify its risk.
  • Calix reported no goodwill or intangible-asset impairment in 2014. Auditors issued unqualified opinions on the financial statements and internal control over financial reporting.

Investor verification priorities

  • Track whether revenue growth can persist as ARRA-funded work winds down and whether international sales broaden beyond the current customer base.
  • Assess the source and sustainability of positive operating cash flow, including changes in deferred revenue, receivables and inventory.
  • Monitor gross margin and inventory exposure, especially the effects of product mix, RUS contracts and any further write-downs.
  • Review CenturyLink’s purchasing levels and the company’s dependence on a small number of large customers.
  • Follow developments in the Occam litigation, insurance coverage and any resulting indemnification or legal costs.
  • Confirm credit-facility availability, covenant compliance, and the timing of the $24.8 million in purchase commitments due within one year.
