- Revenue growth was led by services: service revenue rose 11.5% to $688.1 million, while product revenue increased 0.6% to $2.933 billion.
- Networking Platforms revenue was $2.825 billion (+0.4%); Platform Software and Services was $229.6 million (+16.1%); Blue Planet Automation Software and Services was $77.2 million (+23.3%); Global Services was $488.5 million (+7.0%). Blue Planet remained a small share of total revenue and reported a segment loss of $0.7 million.
- Product gross margin increased to 47.3% from 46.0%; service gross margin fell to 48.6% from 50.5%, reflecting installation and deployment inefficiencies and higher compensation costs.
- Net income included a one-time $119.3 million tax benefit from an internal transfer of certain non-U.S. intangible assets. The resulting effective tax rate was negative 8.09%, versus 20.76% in FY2020; the tax benefit materially boosted reported earnings.
Liquidity, debt and capital allocation
- Cash, cash equivalents and marketable debt investments totaled $1.674 billion at year-end, up $352.6 million from FY2020. Current assets were $3.189 billion and current liabilities $909.0 million.
- Long-term debt had a $680.9 million principal balance and $677.3 million net carrying value; $6.9 million of principal was due within 12 months. The $300 million asset-based revolving facility had no borrowings outstanding, with $87.4 million of letters of credit issued.
- Capital expenditures were $79.6 million. FY2021 cash uses included $91.3 million of share repurchases and $44.1 million to cover employee equity-award tax withholding.
- The company reported no off-balance-sheet financing arrangements. It does not pay cash dividends and said it did not anticipate doing so in the foreseeable future.
Material changes and business developments
- Revenue increased 2.5%, with regional growth in EMEA (+13.4%) and the Americas (+2.3%) partly offset by an APAC decline of 9.9%.
- The ten largest customers accounted for 55.5% of revenue, up from 54.5%; AT&T contributed 12.4%, versus 10.6% in FY2020. Customer concentration remains significant.
- Backlog rose to $2.17 billion from $1.19 billion. Management cautioned that orders may be changed or canceled and backlog is not a reliable measure of revenue for any specific period. Approximately $241.7 million was not expected to be fulfilled in FY2022.
- FY2021 revenue and margins were affected by changing COVID-related demand and fulfillment conditions. Stronger orders in the second half followed weaker spending earlier in the year; some orders may reflect catch-up demand or customer efforts to secure supply.
Outlook, risks and unusual items
- The filing provides no quantified FY2022 revenue or earnings guidance. Management expected operating expenses to rise with planned R&D investment and normalization of customer engagement and travel costs.
- Management expected semiconductor and other supply constraints to increase product costs, pressure gross margin and affect revenue timing and levels in FY2022; it expected the disruption to persist at least through the first half of calendar 2022, potentially longer. Elevated FY2021 gross margins were expected to ease as the revenue mix normalized.
- To mitigate shortages, Ciena increased component and inventory purchases and, in some cases, made higher-cost or non-cancellable commitments. These actions increase cash usage and the risk of excess or obsolete inventory.
- Other principal risks include quarterly revenue volatility, reliance on a small number of customers, intense competition and price pressure, dependence on third-party manufacturers and limited-source suppliers, COVID-related disruption, foreign exchange exposure, cybersecurity and intellectual-property claims, and debt covenants.
- Canadian Emergency Wage Subsidy benefits totaled $41.3 million in FY2021, including amounts relating to FY2020 wages; the program expired in October 2021, and management did not expect a similar future benefit. The company recorded $29.6 million in restructuring and significant asset impairment costs.
- Subsequent to year-end, Ciena closed its acquisition of AT&T’s Vyatta virtual routing and switching technology in FY2022 Q1. In December 2021, it authorized a new $1.0 billion repurchase program and entered a $250 million accelerated share repurchase agreement.
- Management and the auditor concluded internal control over financial reporting was effective at year-end. The auditor highlighted inventory obsolescence reserves and the tax accounting for the intangible-asset transfer as critical audit matters.
Investor verification priorities
- Assess the sustainability of earnings after removing the $119.3 million discrete tax benefit and expired wage-subsidy support.
- Monitor component availability, purchase commitments, inventory levels, gross margins and whether backlog converts to revenue as expected.
- Track customer concentration, particularly AT&T and major web-scale customers, and the effect of their spending and procurement strategies.
- Review term-loan repayment, interest-rate exposure, credit-facility covenants, and the funding and execution of the new repurchase program.
- Evaluate adoption and profitability of Blue Planet, coherent pluggable products and Routing and Switching, including the integration of Vyatta technology.
