Traeger, Inc. — FY2023 Form 10-K Summary
Business context and reporting period
Annual report for the fiscal year ended December 31, 2023, filed March 7, 2024. This is not a standalone fourth-quarter report; the filing does not provide clear standalone Q4 financial results. Traeger sells wood-pellet grills, consumables, accessories and MEATER smart thermometers through retail and direct-to-consumer channels. Grills generated 49.4% of FY2023 revenue; accessories 31.6%; consumables 19.0%.
Financial results and liquidity
| Metric | FY2023 | FY2022 |
|---|---|---|
| Revenue | $605.9 million | $655.9 million |
| Gross profit / margin | $223.6 million / 36.9% | $228.8 million / 34.9% |
| Loss from operations | $55.4 million | $345.9 million |
| Net loss | $84.4 million | $382.1 million |
| Operating cash flow | $64.0 million | $5.1 million |
| Investing cash flow | $(17.4) million | $(18.9) million |
| Financing cash flow | $(68.3) million | $48.6 million |
Revenue fell 7.6%. Grill sales declined 15.8% to $299.3 million and consumables declined 12.5% to $114.9 million; accessories rose 13.3% to $191.6 million, primarily on higher MEATER sales. Gross margin improved by 2.0 percentage points, mainly from lower freight and logistics costs, MEATER mix and some prior-year restructuring effects, partially offset by grill pricing actions and recall costs.
The net loss narrowed substantially, but the comparison reflects a $222.3 million non-cash goodwill impairment in 2022; no goodwill impairment was recorded in 2023. FY2023 operating expenses included $53.2 million of stock-based compensation, including $27.5 million related to cancellation of unearned IPO performance awards. Interest expense was $31.3 million, up from $27.9 million.
Cash and cash equivalents were $29.9 million at year-end, versus $39.1 million a year earlier. Inventory declined to $96.2 million from $153.5 million. Operating cash flow improved, principally reflecting inventory reduction of $57.3 million, partly offset by higher accounts receivable. Cash declined by $21.6 million during the year.
Year-end principal debt was $403.8 million under the term loan, down from $476.1 million of total debt in 2022; the revolving facility had no outstanding borrowings. The company reported $125.0 million of revolver capacity and had drawn $28.4 million under its receivables facility. That facility’s maximum capacity varies seasonally and is subject to its borrowing base and liquidity provisions. The term loan matures in June 2028; the revolver in June 2026. The company reported compliance with debt covenants and believes available cash, facilities and expected operating cash flows can fund requirements for at least twelve months.
Material changes, outlook and risks
- Management attributed weaker sales to softer discretionary spending, retail destocking, and a shift away from big-ticket home products. Grill demand fell at a high-single-digit unit rate; consumables demand fell at a low-double-digit unit rate.
- Management expects these macroeconomic trends and consumer-demand shifts to continue through fiscal 2024, potentially pressuring revenue and results. No specific FY2024 revenue or earnings guidance is provided.
- On December 14, 2023, Traeger announced a voluntary Flatrock flat-top grill recall. Estimated 2023 impact was $2.6 million, including returns, recall charges, inventory write-offs, logistics, rework and estimated legal costs.
- A 2022 restructuring eliminated approximately 14% of global headcount, suspended Traeger Provisions and postponed planned Mexico nearshoring. Final restructuring costs were recognized in 2023.
- Major risks include dependence on three retailers, which represented 18%, 16% and 10% of 2023 revenue; concentrated third-party manufacturing, particularly in Asia; competition and discretionary consumer demand; and substantial debt, variable-rate exposure and covenant requirements.
- Additional exposures include product safety, warranty and recall claims; wood-fiber availability and sustainability requirements; tariffs and freight costs; environmental regulation; and cybersecurity and privacy risks. The filing says no known cybersecurity threat or incident had materially affected, or was reasonably likely to materially affect, the company.
- Management reported that a previously identified material weakness in derivative and hedge accounting controls was remediated and that internal control over financial reporting was effective at December 31, 2023. The auditor did not attest to internal controls because Traeger qualifies for the emerging-growth-company exemption.
Important facts for investors to verify
- Whether grill and consumables demand stabilizes in 2024, and whether accessories growth can offset declines in core grills.
- Recall developments, including actual Flatrock returns, costs, legal exposure and any effect on brand or future product demand.
- Cash generation and working-capital trends, especially whether inventory reductions are sustainable without disrupting product availability.
- Debt service, floating-rate exposure, covenant headroom and receivables-facility availability under its borrowing-base and liquidity terms.
- Retailer concentration, supplier diversification and the company’s ability to maintain margins amid pricing, sourcing and regulatory pressures.
