Research and development expense rose to $1.337 billion (8% of sales) from $1.216 billion; SG&A was essentially flat at $3.176 billion. Material changes versus 2022

  • Lower sales reflected Crop Protection channel destocking, delayed farmer purchases, strategic product exits, reduced planted area in parts of EMEA and Brazil, and the Russia exit. North American corn acres partly offset these declines.
  • Seed pricing and productivity supported stronger Seed earnings, while Crop Protection experienced lower volumes and higher input costs despite pricing and acquisition contributions.
  • Cash flow from continuing operations improved substantially, while investing cash outflow increased to $1.987 billion, including $1.456 billion of net cash used for acquisitions.
  • On March 1, 2023, Corteva acquired biologicals businesses Stoller and Symborg for approximately $1.590 billion combined. Their contribution to 2023 results was not material, according to the filing.
  • Other income (expense) shifted to a $448 million expense from a $60 million expense, reflecting higher foreign-exchange losses, settlement reserves and non-operating pension/OPEB costs.
  • Debt rose following issuance of $1.2 billion of senior notes in May 2023; the company issued $600 million at 4.50% due 2026 and $600 million at 4.80% due 2033.

Outlook, management commentary and key risks

For 2024, management expects net sales of $17.4–$17.7 billion, Operating EBITDA of $3.5–$3.7 billion, Operating EPS of $2.70–$2.90, cash from operating activities—continuing operations of $2.1–$2.6 billion, and free cash flow of $1.5–$2.0 billion. Capital expenditures are expected to be approximately $630 million, with about $1.0 billion of share repurchases anticipated. The outlook assumes no extreme weather, major operational disruption, significant customer-demand or payment deterioration, or further acceleration of currency and inflation impacts. Management described agricultural demand as constructive and expects Crop Protection industry conditions to modestly improve as channel inventories rebalance.

The Crop Protection operations restructuring is expected to generate approximately $100 million of annualized savings by 2025. Total expected pretax charges are $410–$460 million, with $90–$120 million of future cash payments; actions are expected to be substantially complete in 2024. Management expects approximately $180–$230 million of net pretax restructuring charges during 2024. The company also recorded $72 million of non-cash accelerated amortization of prepaid royalties in 2023 and estimates approximately $60 million in 2024.

  • PFAS and environmental exposure: 2023 discontinued-operations charges were $194 million after tax, primarily related to PFAS settlements and remediation. A $501 million environmental remediation accrual was recorded; disclosed potential exposure above accruals was approximately $655 million. Indemnification and cost-sharing recoveries depend in part on counterparties’ ability to pay.
  • Nationwide water settlement: Settling companies funded a $1.185 billion settlement fund in 2023. Final court approval was expected in the first quarter of 2024; opt-outs and approval remain important uncertainties. The filing says the settlement is not an admission of liability.
  • Litigation and regulation: The FTC and state attorneys general antitrust case, related private litigation, Lorsban claims and intellectual-property disputes remain material matters. The filing states that potential losses beyond recorded accruals may be material but cannot be estimated clearly for certain proceedings.
  • Operating and market risks: Weather and climate, channel inventory, commodity and input costs, foreign exchange (including Argentina), customer credit, competition, regulatory approval timelines, third-party supply/licensing dependencies and geopolitical disruption may affect results.
  • Other exposures: Pension and OPEB obligations, separation-related indemnities and taxes, cyber and supply-chain disruption, and sustainability commitments carry risks. Management reported no known cybersecurity incident with a material impact to date.

Most important facts for investors to verify

  • Track 2024 sales, volume and channel inventory trends, particularly the pace of Crop Protection destocking recovery and Seed pricing/mix.
  • Compare reported results with 2024 guidance, including cash conversion and the assumptions underlying non-GAAP Operating EBITDA, Operating EPS and free cash flow.
  • Monitor the final status and opt-out outcome of the Nationwide Water District Settlement, other PFAS matters, remediation accruals and related indemnification recoveries.
  • Assess restructuring execution, cash charges and whether the projected $100 million annualized savings by 2025 are achieved.
  • Review debt, interest expense, seasonal working-capital needs, credit availability and planned shareholder returns alongside acquisition integration and returns.
  • Consider the distinction between GAAP results and non-GAAP measures; the filing’s 2023 GAAP earnings include significant restructuring, foreign-exchange, settlement and discontinued-operations effects.
