  • Same-store rental income increased 3.3%; realized annual rent per occupied square foot rose 4.8% to $22.70. Same-store period-average occupancy declined to 91.8% from 93.2%; year-end occupancy was 90.3%, versus 91.3% for the same-store portfolio in 2022. Across all owned stores, year-end occupancy was 89.8%, down from 90.3%.
  • FFO attributable to common shareholders and third-party OP unitholders was $615.1 million, compared with $562.7 million. Adjusted FFO was $609.4 million, versus $574.5 million. FFO and adjusted FFO are non-GAAP measures and are not measures of cash available for distributions.
  • At year-end, carrying value of debt was $2.923 billion: $2.800 billion principal on unsecured senior notes, $121.4 million mortgage principal and $18.1 million drawn on the revolving facility. Cash and cash equivalents were $6.5 million; revolving-credit availability was $831.3 million. Debt to market capitalization was 21.8%, down from 24.8%.
  • Interest expense on loans was $93.1 million, nearly flat year over year, as lower average debt was largely offset by higher rates. The weighted-average effective debt rate increased to 3.04% from 2.94%.
  • Distributions were $1.98 per share for 2023, up from $1.78. 2023 distributions were characterized entirely as ordinary income for tax purposes.

Material changes versus 2022

  • Revenue and NOI grew, primarily reflecting higher rental rates. Property operating expenses rose 0.5% across the total portfolio; general and administrative expense increased 4.4%, primarily due to personnel costs.
  • Net income also benefited from depreciation and amortization falling 35.2% to $201.2 million, primarily because amortization of in-place lease intangibles from 2021 acquisitions decreased.
  • Equity in earnings of real estate ventures fell 87.6% to $6.1 million. The 2022 comparison included the company’s share of gains and distributions related to a venture’s sale of 14 stores.
  • 2023 other income included a $4.8 million gain from an Illinois store involuntarily converted by the Department of Transportation. The company acquired one New Jersey store for $22.0 million and repaid two mortgages totaling $30.5 million.

Outlook, risks and unusual items

  • No specific 2024 revenue, earnings or FFO guidance is provided in the filing text. Management intends to pursue selective acquisitions, evaluate asset sales, and grow its third-party management business.
  • For 2024, management estimated recurring capital expenditures of $20.5–$25.5 million, store improvements and upgrades of $18.5–$23.5 million, and new-store development spending of $30–$40 million. Scheduled 2024 debt principal payments were approximately $32.3 million. A $300 million senior-note maturity is due in November 2025.
  • Four joint-venture development projects in New Jersey and New York were under construction and expected to be completed by the third quarter of 2025. The filing gives inconsistent project-cost figures: one section reports $51.2 million invested against an expected $94.2 million, while another reports $59.3 million incurred and $109.7 million total construction costs.
  • Key risks include weaker economic conditions or self-storage demand, competition affecting rents and occupancy, higher interest and operating costs, refinancing and capital-market access, concentrated exposure to major markets, severe weather and insurance limitations, cybersecurity and regulatory risks, and maintaining REIT qualification. New York, Florida, California and Texas generated 17%, 15%, 11% and 9% of 2023 revenue, respectively.
  • The company reported no impairment losses in 2021–2023 and no legal proceedings expected to have a material adverse effect. KPMG issued unqualified opinions on the financial statements and internal controls; impairment-indicator assessment for certain properties was identified as a critical audit matter.

Important facts for investors to verify

  • Review same-store occupancy and rental-rate trends, including whether lower occupancy is affecting pricing or leasing momentum.
  • Reconcile the two disclosed cost and investment estimates for the four development projects, and track their funding, schedule and expected returns.
  • Assess the 2025 $300 million note maturity and other debt obligations alongside variable-rate exposure; the revolver rate was 6.41% at year-end.
  • Distinguish GAAP net income from NOI, FFO and adjusted FFO, and examine the effects of lower acquired-lease amortization, venture-sale comparisons and the Illinois conversion gain.
  • Confirm that distributions remain supported by operating cash flow and review planned 2024 capital spending against available liquidity and covenant headroom.
