Segment Performance
- CPI: Q3 sales were $221.6 million, up 0.4%, while operating profit rose 8.0% to $59.7 million. The operating margin increased to 26.9% from 25.0%, supported by pricing, productivity gains, lower manufacturing and shipping costs, and restructuring savings. Core sales declined slightly as customers adjusted inventories.
- Crane Currency: Q3 sales increased 14.9% to $131.3 million, primarily from higher international volumes and favorable currency translation. Operating profit increased only 1.2% to $32.8 million, and margin declined to 25.0% from 28.3% because of unfavorable product mix, particularly higher demand for lower-denomination banknotes.
- For the first nine months, CPI operating profit increased 19.7% to $186.3 million, while Crane Currency operating profit declined 12.3% to $85.1 million.
Cash Flow, Debt and Liquidity
- Operating cash flow for the first nine months was $197.8 million, compared with $230.9 million in the prior-year period. The decline primarily reflected greater working-capital usage.
- Capital expenditures were $16.1 million, compared with $12.2 million in the prior-year period.
- Cash used in financing activities was $176.5 million, including $175.0 million of term-loan repayments and $15.8 million of dividends paid.
- Cash and cash equivalents were $229.0 million at September 30, 2023, versus $230.7 million at December 31, 2022.
- Debt consisted of $166.4 million outstanding under the term facility, $6.6 million classified as short-term term-facility borrowings, and $545.3 million of long-term notes, net of applicable financing costs. The company also has a $500 million revolving credit facility; it drew and repaid $20 million during the quarter.
- The company stated that cash on hand, expected operating cash flow and available revolving-credit capacity should be sufficient for short- and long-term capital requirements.
Material Changes Versus the Prior Comparable Period
- Q3 sales growth included $13.2 million of core growth and $4.6 million of favorable foreign-currency translation. For the nine-month period, core sales increased 4.3%, while currency translation reduced sales by 1.1%.
- Q3 operating margin narrowed because cost of sales increased faster than revenue, primarily due to unfavorable mix and currency effects. Nine-month margin also declined because of unfavorable Crane Currency mix and higher corporate costs.
- Q3 net income benefited from lower income taxes and the absence of $3.6 million of related-party interest expense recorded in Q3 2022, partially offset by higher external interest expense.
- Selling, general and administrative expense included $2.7 million of separation-related expenses in Q3 and $19.7 million for the first nine months. These costs did not occur in the comparable 2022 periods.
- The company redeemed the $300 million of 4.45% senior notes due December 2023 on April 4, 2023, using proceeds from the separation-related dividend and available cash, and replaced part of the debt structure with new term financing.
Outlook, Risks and Unusual Items
- Remaining performance obligations were $454.9 million at September 30, 2023; approximately 61% was expected to be recognized as revenue during 2023, with most of the remainder in 2024.
- Management expected unfavorable product mix in Crane Currency, driven by lower-denomination U.S. government banknote demand, to continue through the remainder of 2023 and into the next quarter.
- The 2022 CPI workforce-reduction program affected approximately 140 employees. The company had incurred $6.2 million of cumulative restructuring costs through September 30, 2023 and did not expect additional costs to complete the actions, although completion timing extends into 2024 in the U.S. and through 2026 in certain foreign jurisdictions.
- Key risks include macroeconomic and geopolitical conditions, inflation, supply-chain disruptions, foreign-currency exposure, cybersecurity and information-system failures, demand variability, competition, product liability, environmental and litigation exposure, tax uncertainties, intangible-asset impairment, and the ability of Crane NXT and SpinCo to perform their separation-related obligations.
- The company reported no reasonable possibility of a material loss, or additional material loss, from disclosed litigation and stated that it did not expect a material tax liability if the distribution were determined not to be tax-free.
- Management concluded that disclosure controls and procedures were effective as of September 30, 2023, with no material changes to internal control over financial reporting during the quarter.
Investor Verification Checklist

- Assess whether Crane Currency’s unfavorable product mix persists and how it affects segment margins and cash generation.
- Review the impact and expected duration of separation-related expenses and the company’s ongoing stand-alone corporate cost structure.
- Monitor term-loan repayments, interest rates, leverage and compliance with the 3.50-to-1.00 maximum total net leverage covenant and 3.00-to-1.00 minimum interest-coverage covenant.
- Reconcile remaining performance obligations with reported revenue and evaluate customer concentration, backlog quality and conversion timing.
- Review foreign-currency effects, working-capital trends and the sustainability of operating cash flow relative to net income.
