Outlook, commentary, risks and unusual items

  • Outlook: The filing provides no specific revenue or EPS guidance. Management estimated approximately $400 million of 2022 capital expenditures and said it aims to achieve annual savings and productivity improvements of approximately 3% of costs through its Invigorate program. Management believes cash, operating cash flow and available borrowing capacity should fund foreseeable obligations and growth opportunities.
  • COVID-19 and reimbursement: Management cautioned that pandemic-related volatility makes the quarter potentially unrepresentative of full-year results. HRSA stopped accepting claims for uninsured testing and treatment after March 22, 2022; the program represented approximately 12% of Q1 COVID-19 testing revenue. Less than 5% of net receivables related to uninsured COVID-19 testing claims, but reimbursement estimates may differ from actual collections.
  • Acquisitions and restructuring: Quest acquired Pack Health on February 1 for $123 million net of acquired cash, including $105 million cash consideration and initially estimated $18 million contingent consideration. It recorded $11 million of pre-tax Invigorate charges, primarily for system conversion and integration; further restructuring charges may occur. Total Q1 items identified by management reduced diluted EPS by a net $0.30, including amortization, investment losses, restructuring/integration costs and charitable support, partly offset by tax benefits.
  • Legal and operational exposures: The company faces litigation and investigations, including a 401(k) class action and ReproSource data-incident litigation and investigations. OCR closed its review of the 2019 AMCA incident on April 6, 2022. Management said material legal losses were not considered probable at quarter-end, but outcomes could affect results or cash flows; legal reserves were $3 million. Reserves for general and professional liability claims were $158 million.
  • Other risks: Key risks include changing COVID-19 demand, reimbursement and billing complexity, wage and supply costs, competition, government regulation and investigations, and investment-value fluctuations. Management reported sufficient testing supplies at the time of filing and no impairment of investments.
