Q3 revenue rose 4% year over year, while year-to-date revenue was up 1%. Q3 licensing revenue was nearly flat ($204.9m versus $205.6m); products revenue increased 74% to $22.6m, largely reflecting Doremi digital cinema server sales; services revenue declined 11% to $4.3m. Year-to-date products revenue rose 29%, but licensing fell 1% and services fell 19%.
Lower gross margin rates reflected product mix and higher product costs. Product gross margin rate fell to 11% in Q3 from 16% and to 14% year to date from 23%, due in part to excess and obsolete digital video inventory charges, higher manufacturing costs, and acquired-technology amortization. Operating expenses increased 5% in Q3 and 7% year to date; year-to-date R&D and sales and marketing expenses rose 11% and 8%, respectively. Operating income declined 11% in Q3 and 18% year to date. Q3 effective tax rate was 24%, versus 22%; the year-to-date rate was 25% in both periods.

Material developments, outlook, and risks
- Doremi acquisition: Completed October 31, 2014, for $99.1m total purchase consideration, including contingent consideration. Acquired operating results did not materially affect consolidated revenue or net income in the period. Integration, expected synergies, and the acquired cinema business remain execution considerations.
- Growth initiatives: Management highlighted Dolby Voice, Dolby Vision, and Dolby Cinema. Dolby Vision TVs and content were beginning to reach the market; Dolby Cinema plans included AMC locations and six announced locations in Austria. Adoption and resulting revenue were uncertain, and the filing provided no quantitative revenue or earnings guidance.
- Property sale: Dolby committed to sell its 37.5% interest in Dolby Properties, LLC; management expected a sale in Q4 FY2015, subject to negotiation and definitive documentation. The entity’s $14.6m of assets and $1.7m of liabilities were classified as current.
- Regulatory and legal matters: China’s NDRC said its review had been resolved on mutually agreeable terms, but discussions on implementation continued and the impact was uncertain. A Korean Fair Trade Commission review remained ongoing. The company said ordinary-course litigation was not expected to materially affect results, while noting adverse outcomes could have a material effect and potential losses could not be estimated clearly.
- Other risks and commitments: Revenue depends on licensee shipments and reporting, technology adoption, and licensing terms. Risks include declining optical-disc and PC-related markets, patent expirations, competition and pricing pressure, foreign exchange, and execution in new markets. Contractual commitments totaled $230.8m, including $141.6m of naming-rights payments and $79.5m of operating leases. Gross unrecognized tax benefits were $58.1m.
- Controls: Management concluded disclosure controls were effective at the period end and reported no material change in internal control over financial reporting during the quarter.
