Material Changes Versus the Prior Comparable Period
- Communication Technologies revenue rose 25% in Q2, primarily from the Sound Solutions acquisition and handset-related demand, but segment earnings fell 8% and margin declined to 13.9% from 18.9%.
- Energy revenue increased 19% and segment earnings increased 21% in Q2, driven by drilling, production and downstream markets. Segment margin improved to 24.9% from 24.3%.
- Engineered Systems revenue increased 8% and segment earnings increased 4%. Refrigeration and food equipment demand remained strong, while Fluid Solutions was affected by European weakness and slowing conditions in China.
- Printing & Identification revenue declined 14% and segment earnings declined 39%. Electronics weakness, especially in semiconductor and alternative energy markets, reduced volume and operating leverage. Segment margin declined to 11.3% from 15.8%.
- Gross margin contracted by 100 basis points in Q2 and 120 basis points for the first half, primarily because of product and customer mix, weaker electronics-related revenue and the impact of recent acquisitions.
- Q2 earnings from continuing operations declined 11%, while six-month earnings declined 1%. Six-month diluted EPS increased modestly because of lower weighted-average shares outstanding following share repurchases.
- The 2011 comparable periods included substantial tax benefits from discrete items, resulting in lower reported effective tax rates. The 2012 effective tax rate was 27.5% for Q2 and 26.9% year to date, versus 19.7% and 21.4%, respectively, in 2011.
Guidance, Outlook, Risks and Unusual Items
Management maintained expectations for 2012 organic revenue growth of 3% to 5%, acquisition-related growth of approximately 5%, and diluted EPS from continuing operations of $4.70 to $4.85. Management also expected full-year capital expenditures of approximately 3.8% of revenue and free cash flow of approximately 10% of revenue.
Management cited solid bookings, supportive oil prices, continued energy demand, handset product launches, and strength in refrigeration, food equipment and U.S. industrial markets. Risks included economic weakness in Europe, slowing China conditions, continued electronics-market weakness, foreign-currency effects, raw-material costs, customer demand, pricing pressure, cyclical markets, acquisition integration, litigation, environmental matters, tax uncertainties and potential supply-chain disruptions.
- Dover completed three acquisitions for aggregate consideration of $499.9 million, including Quattroflow Fluid Systems, Maag Pump Systems and Production Control Services. The transactions generated $263.4 million of goodwill and $248.8 million of acquired intangible assets; purchase price allocations remained preliminary.
- Restructuring charges were $8.1 million in Q2 and $9.6 million year to date. Management expected approximately $4.0 million of additional restructuring expense during the remainder of 2012 and anticipated additional programs in the second half.

- The company had approximately $69.9 million of letters of credit and guarantees outstanding. Management stated that existing legal proceedings were not expected to have a material adverse effect, although outcomes cannot be predicted.
- Other comprehensive loss was $93.6 million in Q2 and $52.3 million year to date, primarily reflecting unfavorable foreign-currency translation.
