Reporting period: Fiscal year ended December 31, 2014; this is an annual report, not a separate fourth-quarter filing. The financial statements were audited by Freed Maxick CPAs, P.C., which issued an unqualified opinion on the financial statements.

Revenue increased 5%: printed-product sales rose 7% to $16.48 million, led by packaging demand, while technology sales, services, and licensing declined 11% to $1.81 million. Cost of revenue rose 12%, faster than sales, and gross margin fell about 4 percentage points. The current ratio was approximately 1.61, with working capital of about $2.31 million. Cash less reported debt was approximately $(5.85) million.
Operating cash use improved year over year despite the reported loss, largely because impairment and other noncash expenses were substantial and certain liabilities increased. Investing activities used $2.27 million, including $1.24 million for intangible assets and $0.75 million for investments. Financing activities provided $5.03 million, including $4.04 million of borrowings and $1.76 million net proceeds from common-stock issuance. Capital expenditures were approximately $0.28 million for equipment and building improvements; segment disclosures report $2.09 million in capital expenditures overall.
Material changes and unusual items
- The $45.86 million consolidated net loss included $34.03 million of impairment charges for intangible assets and investments and a $3.00 million goodwill impairment charge. Impairments reflected adverse patent-litigation outcomes and weaker expectations for patent monetization.
- The PTAB ruled claims asserted by VirtualAgility unpatentable; DSS recorded a net impairment of approximately $7.05 million on its VATI investment. Following a January 2015 summary judgment for Facebook and LinkedIn, DSS recorded a $22.29 million impairment of the related Bascom patent assets in its 2014 statements.
- 2013 net income was substantially affected by a one-time deferred tax benefit of approximately $10.95 million from the DSS Technology Management acquisition. The 2014 tax benefit was approximately $0.99 million.
- Technology Management reported a segment loss to common stockholders of approximately $38.84 million; packaging and printing reported income of $0.84 million, while plastics reported a loss of $0.11 million.
- Two customers generated 40% of 2014 revenue, up from 35% in 2013. The filing reports their share of year-end receivables as 25% in one section and 27% in another; the filing text does not provide a consistent value.
Liquidity, debt, risks, and outlook
- Management stated it believed available resources were sufficient for at least the next 12 months, citing $2.34 million unrestricted cash and a $1.00 million packaging revolver available at year-end. The revolver had no balance outstanding at December 31, 2014.
- Debt includes secured operating-company borrowings and approximately $4.09 million outstanding under an IP-collateralized funding arrangement, plus $0.46 million in fixed-return and contingent interests. The Citizens Bank facilities are secured and cross-guaranteed; a 2013 covenant breach received a waiver, and the company reported compliance for all 2014 quarters. The $50,000 Citizens term loan was repaid at February 2015 maturity. Certain other notes were amended in February 2015 to extend maturity and establish principal payments.
- Patent enforcement is a central business risk. Facebook/LinkedIn litigation ended at trial level with summary judgment for defendants, and DSS agreed not to appeal. PTAB review was instituted for several claims in the TSMC/Samsung matter; Apple filed IPR petitions, and Lenovo litigation was in discovery. DSS also filed a new patent suit in February 2015. Outcomes, timing, costs, and potential recoveries are uncertain.
- The Coupons.com case was dismissed on summary judgment; DSS withdrew its appeal without prejudice in March 2015 to pursue settlement negotiations, retaining the right to re-file if no settlement is reached.
- The filing provides no quantified revenue or earnings guidance. Management’s outlook depends on growing product sales and successfully monetizing patent assets. Risks include continued losses, limited liquidity and financing needs, concentrated customers, patent invalidation and litigation expense, potential dilution, and rising material costs.
- Disclosure controls and procedures were deemed ineffective. Management reported a material weakness in accounting for complex and non-routine transactions, including goodwill impairment, and stated that remediation remained subject to further testing. The prior weakness related to accounting personnel and segregation of duties was reported as addressed but not yet fully remediated through testing.
Most important facts for investors to verify
- Whether core operating businesses can sustain revenue growth and restore gross margins, apart from patent-related outcomes.
- Cash burn, debt maturities, collateral and covenant requirements, and whether management’s 12-month liquidity assessment remains supportable.
- Recoverability of remaining goodwill, patent assets, and investments, including exposure to further court or PTAB decisions.
- Customer concentration and the inconsistent 25% versus 27% receivables disclosure.
- Progress and testing results for remediation of material weaknesses and ineffective disclosure controls.
- Potential dilution from outstanding options, warrants, convertible securities, and further equity financing.
