Management’s non-GAAP adjusted gross margin was 40.9% versus 41.8%; adjusted operating income rose 11% and adjusted diluted EPS increased 17% to $4.69. These measures exclude specified special items, Purolite impacts and, for EPS, discrete tax items; they are not GAAP results. Reported net income for 2020 was a $1.205 billion loss, primarily reflecting the ChampionX separation loss recorded in discontinued operations.
Fourth-quarter 2021 net sales were $3.365 billion, operating income $388 million, net income attributable to Ecolab $301 million and diluted EPS $1.04. The comparable 2020 quarter recorded sales of $3.065 billion, operating income of $416 million, continuing-operations net income of $300 million and continuing-operations diluted EPS of $1.04.
At year-end, total assets were $21.206 billion and total liabilities $13.953 billion. The company had $360 million cash and $400 million commercial paper outstanding, and a $2.0 billion revolving credit facility expiring in 2026 with no borrowings. It reported compliance with debt covenants and long-term ratings of A-/A3/A- from S&P, Moody’s and Fitch. Management said foreseeable 12-month cash needs are expected to be funded by operating cash flow and, as needed, borrowings.
Changes versus the prior comparable period
- Reported sales increased 8%; fixed-currency sales grew 6%, comprising 3% volume and 2% pricing, with acquisitions and currency effects also contributing. Acquisition-adjusted fixed-currency sales rose 5%.
- Higher pricing and volume supported operating income, but delivered-product-cost inflation and supply constraints—among them the Texas freeze and Hurricane Ida—reduced adjusted gross margin by 0.9 percentage points.
- Global Institutional & Specialty sales rebounded 10% at fixed currency after a 19% decline in 2020; Other grew 11%. Global Industrial grew 4%. Global Healthcare & Life Sciences declined 4%, against strong prior-year COVID-related demand.
- Operating cash flow rose $320 million, while working-capital investment increased. Investing cash outflow rose to $4.580 billion, largely reflecting $3.924 billion net cash paid for acquisitions, including Purolite.
- Debt increased by approximately $2.1 billion and net debt to EBITDA rose to 3.4x, reflecting acquisition financing. The company issued $2.8 billion par value of long-term debt and repaid $1.018 billion during 2021.
Outlook, commentary and notable items
- Management expected an uneven global recovery and said inflation and COVID-related challenges would continue into first-quarter 2022. Assuming cost inflation and COVID impacts ease progressively in the second half, it expected its actions to support improved 2022 results. No numeric 2022 earnings or sales guidance is provided in the filing text.
- Special charges totaled $266.8 million in 2021, including COVID-19, restructuring, acquisition and integration, pension-settlement, debt-refinancing and legal items. COVID-related net charges after tax were $81.3 million, including a $60 million reserve for excess sanitizer inventory and disposal costs.
- Restructuring plans remain underway: Accelerate 2020 was expected to finish by end-2022, with $255 million anticipated total costs and $315 million estimated annual savings by 2022; the Institutional Plan was expected to finish by 2023, with $65 million anticipated costs and $50 million estimated annual savings by 2024. These are management estimates.
- Purolite purchase accounting was preliminary at year-end. The acquisition added about $2.014 billion of goodwill and $900 million of customer-relationship intangible assets; integration, retention and valuation assumptions are risks.
- Risks include persistent raw-material inflation and shortages, pandemic-related demand and operating disruption, customer-market weakness, foreign-exchange and geopolitical exposure, cybersecurity, regulatory compliance, and execution of restructuring, ERP upgrades and acquisitions. Russia and Ukraine represented approximately 1% of 2021 consolidated sales; the filing discusses potential effects of sanctions announced after year-end.
- Legal and environmental matters include more than 5,000 plaintiffs in over 175 lawsuits related to the 2019 TPC Group plant explosion. Ecolab said claims against Nalco are without merit and expected insurance coverage subject to deductibles; it could not estimate a loss range. Environmental remediation accruals were approximately $6 million, and the company was participating in assessments or remediation at about 30 locations.
Key facts investors should verify
- Whether pricing and productivity can offset ongoing input-cost inflation and restore gross margins.
- Purolite’s post-acquisition contribution, integration progress, final purchase accounting and effect on leverage.
- Cash generation, working-capital needs, debt maturities and progress toward management’s long-term credit-rating and leverage objectives.
- Whether segment growth—particularly the institutional recovery—can persist, and how Healthcare & Life Sciences performs after unusually strong 2020 demand.
- Developments in the TPC litigation, environmental matters and other legal reserves, including insurance coverage and any change in potential exposure.
- Actual results against the company’s non-GAAP measures and assumptions, restructuring savings, and the conditional 2022 outlook; the filing gives no numerical 2022 guidance.
