Revenue rose 28%, principally reflecting a full year of TransGlobe’s Egypt and Canada operations versus inclusion only from October 2022, as well as higher sales volumes. Lower realized prices weighed on revenue. Operating income fell about 7%, as production, depreciation and corporate costs rose. Net income increased, but diluted EPS declined with the higher weighted-average share count following the TransGlobe combination. Reported operating margin was approximately 34.9%, compared with 48.3% in 2022.
- Cash flow: Operating cash flow was $223.6 million, investing cash outflow $97.2 million and financing cash outflow $56.8 million. Cash, cash equivalents and restricted cash ended at $129.2 million; unrestricted cash was $121.0 million.
- Capital spending: Accrual-basis capital expenditures were $72.6 million, versus $434.4 million in 2022; the prior year included significant Etame work and assets acquired in the TransGlobe transaction.
- Liquidity and debt: Current assets were $228.1 million and current liabilities $127.5 million. VAALCO had no drawn debt at year-end and reported $43.8 million available under its reserve-based facility. Finance lease liabilities were $88.4 million; the facility’s cash minimum is $10 million, and the company reported covenant compliance.
- Reserves: Year-end proved reserves were 28.65 million Boe, including 9.06 million in Gabon, 10.59 million in Egypt and 8.99 million in Canada. Proved undeveloped reserves were 6.19 million Boe. The standardized measure of discounted future net cash flows was $341.9 million, down from $624.5 million in 2022; this SEC measure is not market value.
Material changes and notable items
- Egypt and Canada contributed a full year of operations following the October 2022 TransGlobe acquisition. Egypt revenue was $161.0 million and Canada revenue $33.7 million; Gabon revenue was $260.3 million.
- Production expense increased to $153.2 million, while depreciation, depletion and amortization rose to $115.3 million. The filing attributes cost increases to the expanded business, higher production and costs at Gabon, including diesel use during a gas-line outage and inflationary pressures.
- VAALCO recorded $7.5 million of FPSO demobilization costs in 2023, including costs associated with additional radioactive-material waste and the settlement releasing the joint operating group from further obligations related to the former vessel.
- Derivative results shifted from a $37.8 million loss in 2022 to a $0.2 million gain in 2023. Income taxes remained substantial at $89.8 million.
- VAALCO paid $0.25 per share in dividends during 2023 and repurchased 4.96 million shares for approximately $23.6 million. About $5.5 million remained under the buyback authorization at year-end.
- Management reported that material weaknesses in lease accounting, business-combination accounting, financial reporting and consolidation, and income-tax accounting identified in 2022 were remediated in 2023. Management and the auditor reported effective internal control over financial reporting at year-end.
Outlook, risks and contingencies
- No specific consolidated production or earnings guidance is stated in the provided filing text. Management said it expected the next Etame drilling campaign late in 2024 and planned to continue production optimization; Egypt’s SGZ-6X well was shut in, with a workover planned for 2024.
- On February 29, 2024, VAALCO agreed to acquire Svenska for $66.5 million, subject to adjustments and regulatory and other closing conditions. The assets include a 27.39% non-operated interest in the producing Baobab field offshore Côte d’Ivoire and a 21.05% interest in a Nigerian discovery not expected to be developed currently. VAALCO estimated its cash contribution at closing at $30–$40 million and expected closing in Q2 2024, subject to approvals.
- VAALCO’s estimated $67.5 million Egyptian effective-date adjustment remains under discussion with EGPC. The filing reports $50.3 million remaining gross, while the balance-sheet note reports $45.6 million net of a $4.6 million credit-loss allowance. Collection and final settlement are uncertain. The TransGlobe transaction’s Egyptian assignment-fee issue also remains unresolved.
- Gabon’s 2023 coup and political transition, potential regulatory changes, government audits and foreign-exchange rules pose operating and collection risks. The company was working with Gabonese authorities to establish a schedule to resume Etame abandonment-fund contributions.
- Other material risks include oil-price volatility, reserve-estimation uncertainty, customer and government receivable concentration, offshore operating hazards, cost inflation, currency fluctuations, joint-venture funding and execution, environmental and climate regulation, and cybersecurity. Gabon revenue depended on one customer; Egypt revenue was split between two customers.
- The 2022023-year reserve estimates use lower benchmark prices than 2022. Management cautions that reserve estimates and discounted cash-flow measures depend on assumptions about prices, costs, production and development timing.
Investor verification priorities
- Confirm the final amount and collectability of the EGPC effective-date adjustment, including the gross receivable, allowance and any offsets for modernization payments or assignment-related claims.
- Check Svenska acquisition approvals, final purchase-price adjustments, expected closing funding and whether the acquired production and benefits match expectations.
- Track 2024 operating performance, particularly Etame uptime and the timing and cost of the next drilling campaign, Egypt’s SGZ-6X workover, and Canadian well results.
- Reconcile reserve changes and the sharp decline in standardized measure, distinguishing price effects from performance and development-cost changes.
- Monitor cash allocation and liquidity after dividends, buybacks, facility commitments, lease payments, abandonment funding and any acquisition spending.
- Review the full audited financial statements and notes for tax valuation allowances, lease obligations, abandonment liabilities and any updates to legal, government-audit or credit-loss contingencies.
