Fiscal 2024 sales declined because organic volume fell 7%, partly offset by a 4% pricing increase. Gross-profit improvement reflected $136.4 million of Inflation Reduction Act Section 45X production credits recognized as a reduction of cost of sales, together with favorable price and mix.

Segment performance

SegmentFiscal 2024 salesYear-over-year changeOperating earnings
Energy Systems$1,590.0 millionDown 8.5%$87.0 million
Motive Power$1,456.2 millionUp 0.3%$214.7 million
Specialty$535.7 millionUp 3.2%$31.4 million

Energy Systems was pressured by a pause in telecommunications and broadband capital spending, partly offset by robust data-center and industrial demand. Motive Power benefited from pricing, mix and maintenance-free product conversions despite lower volume. Specialty demand was strong but constrained by capacity, while manufacturing and operating costs reduced profitability.

Liquidity, debt and capital allocation

  • Cash and cash equivalents were $333.3 million at March 31, 2024, compared with $346.7 million a year earlier.
  • Available and undrawn credit capacity was approximately $938.3 million.
  • Total consolidated debt, including finance leases, was approximately $833 million. Long-term debt principal was $810.0 million, plus $30.4 million of short-term debt.
  • The company issued $300 million of 6.625% senior notes due 2032 and used the proceeds primarily to repay credit-facility borrowings.
  • Total net debt under the credit agreement was $511.1 million, or 1.0 times adjusted EBITDA, versus 1.8 times in fiscal 2023. Interest coverage was 11.0 times versus 7.3 times.
  • All debt covenants were reported in compliance. The principal credit facility matures September 30, 2026.
  • The company repurchased 1,002,415 shares for $95.7 million and paid $34.5 million of dividends. The annual dividend increased to $0.85 per share from $0.70.

Primary operating capital declined to $852.9 million, or 23.4% of annualized sales, from $1,057.0 million, or 26.7%, primarily due to collections and improved inventory management. The company also sold approximately $710.7 million of receivables during fiscal 2024 under its receivables purchase agreement.

Material changes, outlook and unusual items

  • Management expects elevated interest rates to persist, with possible reductions in the second half of calendar 2024. Supply-chain conditions generally stabilized, although electronic components, plastics, copper and geopolitical shipping disruptions remain risks.
  • Customer pricing generally lags commodity-cost changes by six to nine months; management expects average selling prices in fiscal 2025 to be higher than in fiscal 2024 based on this lag.
  • The company stopped production and operations of residential renewable-energy products, including OutBack and Mojave, and is reallocating resources toward commercial energy solutions. Fiscal 2024 charges included $17.1 million of inventory write-offs, $6.0 million of trademark impairment and other exit costs.
  • The Spokane, Washington facility was closed, and the Sylmar, California and Ooltewah, Tennessee exits were substantially completed. Total fiscal 2024 restructuring and other exit charges were $28.1 million; approximately $2.3 million of restructuring costs remained to be incurred at year-end.
  • Indefinite-lived trademark impairment charges were $13.6 million, compared with $0.5 million in fiscal 2023. No goodwill impairment was recorded.
  • Section 45X credits are subject to evolving Treasury and IRS guidance. Changes to eligibility or implementation could materially affect reported margins, earnings and liquidity.
  • On May 2, 2024, EnerSys announced an agreement to acquire Bren-Tronics for approximately $208 million, subject to adjustments and customary closing conditions. Closing was expected by the end of the second quarter of fiscal 2025.
  • The company declared a $0.225 per-share dividend on May 22, 2024, payable June 28, 2024.

Principal risks and contingencies

  • Competitive pricing pressure, cyclical demand and weaker telecommunications spending could reduce sales and margins.
  • Lead, lithium, nickel, cobalt, plastics, copper, steel, electronic components and transportation costs remain volatile. A 10% increase in lead costs was estimated to increase annual cost of goods sold by approximately $72 million.
  • Transition toward lithium-based technologies creates execution, technology, supply and product-acceptance risks, including risks associated with the proposed South Carolina gigafactory and Verkor relationship.
  • Variable-rate debt, foreign exchange exposure and geopolitical events may affect earnings, cash flow and financial flexibility.
  • Environmental, health and safety obligations are significant because manufacturing uses lead, acid and other hazardous materials. European competition investigations remained unresolved, with no reserve recorded at March 31, 2024; the ultimate outcome and potential losses were described as uncertain.
  • ERP implementation, cybersecurity incidents, product quality or warranty claims, labor disruptions, tax audits and changes in environmental or tax regulations could materially affect results.
  • Approximately 40% of fiscal 2024 sales were generated outside the United States, increasing currency and international operating exposure.

Facts investors should verify

  • Whether the $136.4 million Section 45X benefit is sustainable under final regulations and how its phaseout beginning in 2030 may affect margins.
  • Whether Energy Systems telecommunications demand recovers and whether data-center growth offsets the weakness.
  • Progress, costs and expected returns from lithium, New Ventures and the proposed Bren-Tronics acquisition.
  • Execution of facility exits, remaining restructuring costs and any further impairment risk for trademarks or goodwill.
  • Debt maturities, variable-rate exposure, covenant headroom and continued availability under the credit facility through 2026.
  • Potential exposure from environmental matters, European competition investigations, product warranties and tax examinations.
  • Cash-flow quality, including the effect of receivables sales and continued inventory reductions.
  • The filing reports effective disclosure controls and internal control over financial reporting, with an unqualified independent auditor opinion.
