Revenue increased 10.5%, largely reflecting higher realized commodity prices and the May 2021 Barnett Shale acquisition. Oil revenue declined 7.6%; NGL revenue rose 259.6%, and natural gas revenue increased with the acquired Barnett production. Equivalent production rose 19.1% to 886,922 BOE, while average realized revenue per BOE fell 7.2% to $36.87, partly due to the acquired asset’s gas-weighted mix. Total lease operating costs increased 22.8% to $16.6 million; operating costs including taxes were $18.70 per BOE versus $18.13.
The operating loss included $24.8 million of proved-property impairment charges, recorded in the first and second fiscal quarters, plus $0.1 million of impairment on Well Lift-related assets. Excluding proved-property impairments, the company reported $3.7 million of operating income. Operating cash flow declined by $7.7 million, including the effect of lower revenues and $2.5 million of realized hedge settlement losses.
Assets, debt and liquidity
- In May 2021, EPM acquired non-operated Barnett Shale interests for approximately $18.3 million, plus $2.8 million of non-cash asset-retirement obligations. The acquired assets added 13.1 MMBOE of proved reserves.
- Total proved reserves were 23.4 MMBOE at June 30, 2021, up 129% year over year, primarily from the Barnett acquisition. The company reported a $87.6 million standardized measure of discounted future net cash flows, which is not a market-value estimate.
- Year-end debt was $4.0 million under a reserve-based credit facility, with a $30 million borrowing base and maturity in April 2024. The Barnett properties were not yet included in the borrowing base. EPM reported compliance with facility covenants.
- Cash fell by $14.4 million during the year, primarily reflecting the acquisition and dividends. Investing cash outflow was $18.8 million; financing cash outflow was $0.3 million, including $4.3 million of dividends and net facility borrowings of $4.0 million.
- The company returned $4.3 million in dividends in FY2021. The quarterly dividend rose from $0.025 per share early in the year to $0.05 in Q4; a $0.075 dividend was declared in September 2021, payable September 30.
Changes, outlook and risks
The Delhi field experienced lower production after its CO2 supply pipeline was shut for repairs from February through October 2020 and purchased volumes remained constrained after restart. The operator resumed limited conformance work; management expected CO2 purchases to increase in FY2022. Delhi Phase V development, with approximately $8.6 million of estimated future costs, was projected to begin in FY2023, subject to the operator’s funding and priorities. Hamilton Dome production improved as previously shut-in wells were restored. Barnett’s new operator had not formalized its budget but had expressed interest in remedial workovers.
Management expected $0.9–$1.5 million of maintenance and conformance spending over the following 12 months. Phase V spending was planned across FY2023 and later years. The company stated it expected to fund anticipated capital expenditures from operating cash flow and working capital; timing and execution remain dependent on third-party operators. There were no open commodity derivative positions at year-end.
- Principal exposures: volatile oil, gas and NGL prices; production and development decisions controlled by third-party operators; dependence on a concentrated group of assets and purchasers; and transportation or pipeline interruptions.
- Other material risks: COVID-19 and related demand volatility, environmental and regulatory liabilities, climate-related policy and financing risks, operational hazards, cyber risks, and reserve-estimation uncertainty.
- Impairment sensitivity: no impairment was indicated at June 30, 2021 under the required price assumptions, but management cautioned that weaker prices could reduce the ceiling-test cushion. Earlier FY2021 price declines had triggered the substantial impairment charges.
- Dividend: future payments are discretionary and depend on cash generation, capital needs, covenants and other factors; the filing gives no assurance that the increased dividend will continue.
Important facts for investors to verify
- Whether Delhi CO2 supply and operator investment recover sufficiently to stabilize production, and whether Phase V proceeds on schedule.
- Whether Barnett operator transition, budgeting and workovers support expected production and cash flow; confirm subsequent operating updates.
- How commodity prices, differentials and production costs affect cash generation, impairment risk and the reserve-based borrowing base.
- Whether the $3.1 million income-tax refund receivable is collected as anticipated, and whether liquidity supports planned capital spending and dividends.
- Confirm the declared $0.075 dividend and future board decisions; the filing does not establish it as a recurring rate.
