Management attributed revenue growth to sales to existing clients, price increases and new-client sales, partly offset by cancellations. Acquisition-related revenue accounted for approximately 11.0 percentage points of quarterly growth; foreign exchange reduced growth by 0.4 percentage points. CGS-related data licensing and issuance revenue primarily drove growth in Content & Technology Solutions. Higher amortization, CGS-related royalties and technology costs partly offset operating leverage.
Quarterly segment revenue was $331.1 million in the Americas (up 21.0%), $132.5 million in EMEA (up 15.6%) and $51.5 million in Asia Pacific (up 20.0%). Organic ASV plus Professional Services was $1.902 billion as of February 28, up 9.1% year over year. Annual ASV retention was above 95%.

- Six-month operating cash flow was $271.3 million, versus $195.0 million. Capital expenditures were $35.4 million; company-defined free cash flow was $235.9 million, versus $174.4 million.
- Cash and cash equivalents were $445.3 million at February 28, 2023, down from $503.3 million at August 31, 2022. Six-month cash decreased by $57.9 million, reflecting debt repayments and dividends.
- Debt principal was $1.75 billion ($1.736 billion net carrying value), down from $2.00 billion principal at August 31, 2022. FactSet repaid $250 million of term debt during the six-month period. The $750 million revolving-facility balance remained outstanding; the facility has $500 million total capacity.
- Six-month interest expense on outstanding debt was $33.3 million, versus $3.8 million. The company reported compliance with debt covenants, including a maximum total leverage ratio of 4.00 to 1.00.

Outlook, commentary and risks
- The filing provides no specific full-year revenue or earnings guidance. Management said available liquidity, including revolving-credit capacity and other financing alternatives, is expected to fund operations and planned growth for the next 12 months and foreseeable future.
- Management anticipated resuming the existing share repurchase program in fiscal 2023’s third and fourth quarters, subject to market conditions and other considerations.
- Key operating considerations include higher CGS-related amortization and royalties, cloud-hosting and software spending, increased employee costs, foreign-exchange movements and exposure to variable interest rates. A 25-basis-point SOFR change was estimated to affect annual interest expense by approximately $0.9 million.
- FactSet is contesting Massachusetts sales-tax notices covering periods from 2006 through June 2021. It recorded an accrual it described as immaterial, but stated that an adverse outcome could materially affect financial position, results or cash flows. Management does not expect other disclosed legal matters or tax audits to have a material effect.
- FactSet discontinued commercial operations and service delivery in Russia; associated revenue was not material. Management reported no significant financial impact from COVID-19 during the periods presented and continued monitoring the Russia-Ukraine conflict.
- Disclosure controls were deemed effective excluding CGS, which was excluded from the internal-control assessment during the permitted post-acquisition period. The filing reported no material changes to risk factors and no material changes in internal control during the period.
Important facts for investors to verify
- Separate organic growth from CGS acquisition-related growth and monitor recurring subscription-value growth and retention.
- Assess whether margin gains persist as CGS amortization and royalty costs, cloud investment and employee expenses continue.
- Track debt reduction, variable-rate exposure, interest expense and cash available after capital spending and shareholder returns.
- Follow the Massachusetts sales-tax proceedings and any change to the recorded accrual or stated potential exposure.
- Confirm whether the anticipated share repurchase resumption occurred and review any subsequent capital-allocation decisions.
