Material changes and segment performance

  • International sales rose 4% to $5.386 billion, with reported growth including contributions from acquired and newly consolidated businesses; segment operating profit fell 4% to $473 million. Excluding Venezuela devaluation, segment profit increased 4% to $535 million.
  • U.S. Retail sales were essentially flat at $10.605 billion, while segment operating profit declined 3% to $2.312 billion, reflecting higher trade spending.
  • Convenience Stores and Foodservice sales fell 2% to $1.919 billion and segment operating profit declined 2% to $307 million. Management cited a major-customer loss and weather-related closures as contributors to lower volume.
  • Sales growth reflected volume and net price/mix, partly offset by unfavorable foreign exchange. Fiscal 2014 included additional operating activity from Yoki, the Canadian Yoplait franchise, and Immaculate Baking.

Outlook, commentary, risks and unusual items

Management described fiscal 2014 as challenging, citing weak consumer trends and low category growth in developed markets, softness in cereal, and dairy-cost inflation affecting yogurt. Input-cost inflation was 4% in fiscal 2014; management expected 3% in fiscal 2015, with cost-of-sales holistic margin management savings expected to offset it.

For fiscal 2015, management targeted mid-single-digit constant-currency sales growth, mid-single-digit constant-currency segment operating profit growth, and high-single-digit constant-currency adjusted diluted EPS growth. The sales outlook included a 53rd week, anticipated double-digit emerging-market growth and low-single-digit developed-market growth. Planned capital expenditures were approximately $730 million; management also expected at least a 3% net reduction in shares outstanding.

  • Unusual fiscal 2014 items included a $65.5 million pre-tax gain on the sale of grain elevators and a $62.2 million Venezuela currency remeasurement loss. Commodity and grain mark-to-market results affected reported earnings; restructuring charges were $3.6 million, and the related restructuring actions were completed.
  • Venezuela’s operations were less than 1% of consolidated assets, liabilities, sales, and segment operating profit, but additional currency devaluation remains a risk.
  • Other principal risks include intense competition and private-label pressure, volatile commodity and packaging costs, reliance on large retailers (Walmart represented 21% of consolidated sales), food safety and product-recall exposure, foreign-exchange and political risks, supply-chain disruption, and pension-cost sensitivity.
  • Goodwill and indefinite-lived intangible assets totaled approximately $13.2 billion. No impairment was identified in the fiscal 2014 assessment, but certain reporting units and brands had declining performance and remain under monitoring.
  • The company reported three active environmental cleanup sites and stated that pending legal matters were not expected to have a material adverse effect. It also disclosed guarantees for subsidiary and affiliate obligations.

Most important facts for investors to verify

  • Whether fiscal 2015 growth targets were achieved, particularly volume-led sales and adjusted EPS growth, and how much growth came from the extra week or acquired businesses.
  • Whether margin pressure from commodity inflation, trade spending, and product mix eased, and whether expected cost savings offset input-cost increases.
  • Debt and liquidity trends, including refinancing of near-term maturities, cash generation, and the scale of share repurchases relative to operating cash flow.
  • Progress in weak-performing businesses and the sensitivity of goodwill and brand valuations to updated forecasts and discount-rate assumptions.
  • Exposure to Walmart and other major customers, as well as developments in Venezuela, pension funding, environmental matters, and product-safety contingencies.
