Gaotu Techedu Inc. annual report, Q4 FY2021

Gaotu Techedu Inc. — FY2021 Form 20-F Summary

Reporting period: Fiscal year ended December 31, 2021. This is an annual report, not a standalone fourth-quarter filing; the text does not provide a clear standalone Q4 income statement. Financial figures below are in RMB unless stated otherwise. Gaotu operates mainly in China through PRC subsidiaries and a variable interest entity (VIE); the VIE generated all consolidated revenue in 2021, but investors do not own its equity directly.

Revenue remained heavily concentrated in K-12 academic tutoring: RMB6.001bn, or 91.4% of FY2021 revenue, versus 87.5% in 2020. Comprehensive tutoring and other services contributed RMB561.1m, or 8.6%. Gross margin compression reflected higher cost of revenue, including restructuring-related severance costs. Selling expenses fell, but research and development and general and administrative expenses rose; total operating expenses increased 3.2% to RMB7.344bn.

FY2021 investing cash inflow of RMB4.813bn primarily reflected maturities of short- and long-term investments, partly offset by purchases of short-term investments; it should not be read as recurring operating cash generation. Financing cash outflow was RMB100.6m. The company reported no year-end borrowing balance as a separate balance-sheet line; it did report operating lease liabilities and RMB442.8m of undiscounted operating lease commitments, plus RMB26.6m of real-estate purchase obligations.

Material changes, outlook and risks

  • Regulatory-driven business exit: Gaotu stopped K-9 academic after-school tutoring by the end of 2021 and senior-high academic tutoring by February 2022. It is shifting toward professional education, vocational education and digital products. Management expects the cessation to materially reduce revenue in 2022 and later periods.
  • Restructuring and unusual items: FY2021 included RMB52.5m impairment of long-lived assets, RMB43.3m goodwill impairment and RMB146.2m disposal losses. The company also cited severance costs, operating-center closures and personnel reductions. Paid K-12 enrollments fell 49.7% year over year; comprehensive tutoring enrollments fell 31.7%.
  • Liquidity and cash conversion: Cash and short-term investments declined materially, while operating cash flow became substantially negative. Management stated that available liquidity was sufficient for at least the next 12 months, but also noted regulatory and restructuring uncertainty and potential need for additional financing.
  • Regulatory and structural risks: PRC education, data-security and overseas-listing rules are evolving. The VIE contractual structure is not direct ownership and may be difficult to enforce; regulatory action could impair operations or require relinquishing the VIE business. The filing says the auditor was not then subject to PCAOB inspection and warns of potential U.S. trading restrictions under the HFCA Act.
  • Contingencies: The SEC sought financial and operating records following short-seller reports; the company said it was cooperating. A putative securities class action remained pending, with a motion to dismiss awaiting a ruling; the company could not estimate a possible loss. The filing also reports RMB0.7m in 2021 fines related to advertising and pricing violations.
  • Other considerations: No dividends were planned for the foreseeable future. The company reported effective disclosure controls and internal control over financial reporting, and its auditor issued an unqualified opinion on the financial statements.

Most important facts for investors to verify

  • How much revenue, enrollment and cash generation the post-K-12 businesses can sustain after the academic tutoring exit.
  • Whether the remaining RMB3.671bn of cash, restricted cash and short-term investments is accessible where needed, and how rapidly it is being consumed.
  • The timing and cash impact of refunds, deferred-revenue run-off, severance, lease commitments and further restructuring charges.
  • Current status and financial exposure, if any, from the SEC inquiry, shareholder litigation and advertising-related regulatory matters.
  • Developments in PRC education, data-security and overseas-listing rules, the enforceability of the VIE arrangements, and PCAOB inspection and U.S. listing risks.
