- Growth drivers: Q2 sales rose 39% and first-half sales rose 41%. FSG sales increased 65% in Q2, including $206.6 million from acquisitions and 12% organic growth. ETG sales increased 6% in Q2, principally from 4% organic growth.
- Segment results: Q2 operating income was $148.9 million for FSG, up 49%, and $75.3 million for ETG, up 11%. First-half operating income was $285.0 million for FSG, up 55%, and $130.6 million for ETG, up 5%.
- Margins and earnings: Despite higher gross margin in Q2, operating margin declined year over year. Higher amortization, inventory obsolescence, SG&A costs and a prior-year contingent-consideration item weighed on operating margins. Higher interest expense partly offset operating-income growth; HEICO cited increased debt associated with fiscal 2023 acquisitions.
Cash flow, balance sheet and liquidity
- For the first six months, operating cash flow was $252.8 million, versus $154.4 million a year earlier. Net income and noncash depreciation and amortization supported cash generation; working capital absorbed cash, including a $71.1 million inventory increase. Advance customer deposits contributed to the “Other” operating cash flow line.
- Investing cash outflow was $85.3 million, including $46.2 million for acquisitions, $26.3 million of capital expenditures and $14.4 million of Leadership Compensation Plan investments. Financing cash outflow was $135.2 million. Cash increased $33.1 million to $204.2 million.
- At April 30, 2024, debt carrying value was approximately $2.390 billion, versus $2.478 billion at October 31, 2023, and shareholders’ equity was $3.443 billion. Revolver borrowings were $1.175 billion; the facility’s weighted-average rate was 6.9%. Senior notes comprise $600 million due 2028 at 5.25% and $600 million due 2033 at 5.35%.
- Management reported compliance with debt covenants and a total debt-to-shareholders’ equity ratio of 69.4%. It believes operating cash flow and available revolver borrowings will cover cash requirements for at least the next 12 months.
- Inventories were $1.088 billion at period-end, up from $1.014 billion at October 31, 2023. Remaining performance obligations were $1.846 billion; HEICO expects to recognize $820.5 million during the rest of FY2024, with the remainder thereafter.
Outlook, risks and unusual items
- Management anticipates sales growth in both segments for the remainder of FY2024, driven principally by fiscal 2023 acquisitions and demand for most products. It provided no specific full-year sales or earnings target in this filing.
- FY2024 capital expenditures are expected to be approximately $60 million to $65 million.
- Management noted that continued cost inflation may lead to higher sales prices. Risks identified include commercial air travel and airline purchasing trends, defense and space spending, regulation and export restrictions, competition, product development and manufacturing challenges, cybersecurity, acquisition execution, customer credit risk, interest and foreign-exchange rates, and economic conditions.
- The first-half effective tax rate was 16.9%, down from 19.3%, principally reflecting a larger tax benefit from stock-option exercises; Q2’s effective tax rate was 21.2% in both years.
- A customer notified HEICO it intends to reduce future orders under an acquired business’s customer agreement. The parties settled related contingent consideration at $11.0 million, expected to be paid in Q3 FY2024; the estimated liability was reduced from $17.3 million at October 31, 2023. Total contingent-consideration liabilities were $45.9 million at April 30.
- Holders of certain subsidiary interests can exercise put rights through fiscal 2032. The estimated aggregate redemption amount was $368.4 million at April 30, 2024. The filing also reports ordinary-course litigation, which management does not expect to have a material adverse effect.
Most important facts for investors to verify
- How much of reported growth is sustained organic growth versus acquired revenue, particularly in FSG.
- Whether operating margins stabilize as acquisition amortization, inventory obsolescence and operating costs evolve.
- Debt, interest expense, cash generation and working-capital requirements, including the ability to fund acquisitions and subsidiary put-right redemptions.
- Whether the announced customer order reductions affect future sales, backlog or contingent consideration beyond the disclosed settlement.
- Progress against management’s FY2024 sales-growth outlook and $60–$65 million capital-expenditure expectation; these are expectations, not guaranteed results.
