HUYA Inc. annual report, Q4 FY2023

HUYA Inc. — FY 2023 Form 20-F Summary

Business context and reporting period

This is HUYA’s annual report for the fiscal year ended December 31, 2023, not a standalone fourth-quarter report. HUYA operates game-focused live-streaming platforms, principally in mainland China, and is expanding into game-related services. Financial statements are prepared under U.S. GAAP and reported in RMB; U.S. dollar amounts are the filing’s convenience translations.

HUYA is a Cayman Islands holding company that consolidates its mainland China VIE through contractual arrangements rather than equity ownership. The VIE generated 95.6% of 2023 revenue. Tencent controls the company’s Class B shares and, as of March 31, 2024, held 95.1% of voting power.

Material changes, outlook, risks and unusual items

  • Management’s 2023–2025 strategic plan shifts commercialization toward game distribution, in-game item sales and game advertising, while seeking to better align creator compensation and content costs with revenue. Management cautions that the transition may create near-term volatility and may not succeed; no numerical earnings or revenue guidance is provided.
  • In December 2023, HUYA acquired a global mobile application service provider from Tencent for US$81 million (RMB 574.8 million) to support international game-app distribution and potential synergies with Nimo TV. The acquisition was accounted for as a common-control transaction, with 2022 results retrospectively adjusted. The acquired business represented less than 1% of consolidated assets and revenue in 2023.
  • Advertising and other revenue fell sharply after HUYA lost sublicensing rights for League of Legends matches for 2023–2025. Its broadcasting license became non-exclusive, and the related license fee for those years was reduced to RMB 450 million. The unpaid amount was RMB 300 million at year-end 2023.
  • HUYA repurchased 9.16 million ADSs for US$28.8 million in 2023 under a US$100 million, 12-month authorization. Separately, in March 2024, it declared a special dividend of US$0.66 per ADS/share, approximately US$150 million in total, expected to be paid around May 24, 2024.
  • Management said current cash resources and expected operating cash flows should cover working capital and capital expenditures for the 12 months following the report. However, much of the group’s cash is held in deposits and offshore subsidiaries; PRC rules and the VIE structure can limit transfers to the parent. The company reported negative operating cash flow in 2023.
  • Key risks include declining paying users and live-streaming monetization, competition, high creator/content costs, evolving PRC internet, data, gaming and live-streaming rules, and uncertainty around the enforceability of VIE contracts. The VIE structure is not direct ownership, and investors in ADSs do not own equity in the VIE.
  • Other notable investor risks include Tencent’s voting control and related-party dealings; possible future HFCAA trading restrictions if PCAOB inspection access changes; and HUYA’s statement that it believes it was a PFIC for U.S. tax purposes in 2023 and likely may be one in 2024.
  • A game-related intellectual-property case remains ongoing: a lower-court judgment against HUYA was overturned on appeal in June 2023, but a retrial was granted after the plaintiff’s December 2023 appeal. The filing otherwise states HUYA was not party to material legal or administrative proceedings.
  • The auditor issued unqualified opinions on the financial statements and internal control over financial reporting. Management and the auditor excluded the acquired mobile-application business from the 2023 internal-control assessment and audit; it represented less than 1% of consolidated assets and revenue.

Most important facts for investors to verify

  • Whether the 2023–2025 game-services strategy produces meaningful revenue diversification and improves sustainable profitability.
  • Whether paying-user trends stabilize, noting the paying-user definition expanded in Q4 2023 to include certain game-related-service purchasers.
  • How much cash and deposits are practically accessible to the holding company, and the funding and payment status of the announced special dividend.
  • Whether the acquired mobile-app provider meets performance expectations and generates the anticipated synergies with Nimo TV.
  • The outcome of the ongoing intellectual-property retrial and any resulting financial or operating exposure.
  • Developments affecting VIE enforceability, PRC regulatory permissions, data compliance, PCAOB inspection access and HUYA’s PFIC status.
