General and administrative expense included $397,901 of restricted-stock compensation; excluding that expense, management said operating expenses would have increased 7.4% year over year.

Liquidity, debt and cash flow
- At March 31, cash was $1.185 million, working capital was approximately $0.2 million, and total assets were $18.916 million. Current liabilities were $4.851 million, including $2.583 million of deferred revenue and $325,000 of current notes payable.
- Outstanding note principal was approximately $2.465 million: $1.865 million owed to unrelated parties and $600,000 to related parties. The company repaid $500,000 of note principal in March. It reported approximately $2.1 million due in December 2025 and $600,000 of related-party principal due in 2026; see the filing’s note disclosures for terms and carrying amounts.
- Operating cash flow was $612,000; investing activities used $128,000, including $110,000 for capitalized internal-use software; financing activities used $514,000, primarily for debt repayment. Cash decreased by $30,000 during the quarter.
- Management believes available resources, expected operating cash flow and potential financing options will meet ordinary-course needs for at least 12 months. It also cautions that operating cash flow alone may not be sufficient to meet 2025 debt obligations in full.
Outlook, commentary and risks
- No specific revenue or earnings guidance was provided. Management expects SaaS demand and its strategic growth initiatives to support the business, while noting that results may fluctuate.
- The State of Michigan accounted for 48% of Q1 revenue, compared with 34% a year earlier; government and education contracts represented approximately 86% of revenue. Management says its largest customer may seek lower pricing on a significant portion of work, potentially beginning in Q4 2024. No formal or written notice had been received as of the report date. The customer may terminate work without cause, and mitigation is uncertain.
- A renewal with the largest customer, effective October 2023 through September 2024, included an estimated 21% net rate increase for non-fixed-price projects compared with rates under the prior contract period. Management nevertheless expects possible pricing renegotiation and warns of potential adverse effects on revenue, margins, earnings, cash flows and liquidity.
- Management cited wage inflation and increased staffing and infrastructure investment as cost pressures. It said wage inflation appeared to have stabilized and that it had not experienced reduced customer demand from adverse economic conditions as of the report date.
- The company reported no legal proceedings and no material changes to previously disclosed risk factors other than the customer-pricing risk. Disclosure controls were assessed as effective; no material change in internal control over financial reporting was reported.
Investor verification priorities
- Track any State of Michigan pricing changes, contract renewals or lost work, given its 48% share of quarterly revenue and the potential Q4 2024 impact.
- Confirm debt maturity, amendment and refinancing plans, and whether operating cash flow can support 2025 repayments.
- Assess the sustainability of operating cash flow and the working-capital position, including changes in deferred revenue and customer collections.
- Review the amount and accounting treatment of restricted-stock compensation and its effect on reported operating expenses and dilution.
- Monitor customer concentration and whether SaaS growth and improved gross margin can offset cost growth and pressure in conversion and storage services.
