  • Potash production declined to 796,000 tons from 813,000 tons, primarily because of early-year operating problems at the East facility.
  • Trio® sales volume fell to 125,000 tons from 173,000 tons because production and inventory were constrained, but the average net realized price rose to $329 per ton from $236.
  • Potash gross margin was approximately 44% versus 50% in 2011. Trio® gross margin increased to approximately $27 per ton from $11 per ton.

Material changes versus the prior comparable period

  • Revenue increased modestly because higher potash volumes offset lower potash pricing. Profitability declined because of lower prices, higher production costs, and increased depreciation and depletion from recently completed capital projects.
  • Cost of goods sold increased 11% to $236.5 million. Potash cost of goods sold rose to $240 per ton from $223, while Trio® cost rose to $286 per ton from $210.
  • Production challenges at the East facility reduced recoveries and increased per-ton costs. Management reported sequential improvement in East potash production during 2012.
  • 2011 included $12.5 million of insurance settlement income and $7.9 million of New Mexico employment-related credit income; these items did not recur in 2012.
  • Cash declined substantially because of $253.0 million of capital investment and a $56.5 million special cash dividend, partially offset by operating cash flow and investment proceeds.
  • Asset retirement obligations increased to $20.6 million recorded liability, with an estimated undiscounted obligation of $52.5 million, principally due to construction activity and revised mine-closure estimates.

Guidance, outlook, management commentary and risks

  • Management expected 2013 capital investment of approximately $235 million to $285 million, including completion of the HB Solar Solution mine and North compaction expansion.
  • HB Solar Solution first production was expected late in the fourth quarter of 2013, with production ramping in 2014 and increasing into 2015. Total project investment was estimated at $225 million to $245 million; $128.3 million had been invested by year-end 2012.
  • The North compaction project was expected to cost approximately $95 million to $100 million, with $55.4 million invested by year-end 2012.
  • Management expected 2013 Trio® sales to approximate production because year-end inventory was low, and expected langbeinite production to improve as the recovery plant was commissioned.
  • Management expected first-quarter 2013 potash pricing to be slightly below fourth-quarter 2012 levels because of lower competitor postings. It also expected 2013 cash costs per ton to remain approximately stable, subject to production improvements and cost controls.
  • In August 2012, the company agreed to issue $150 million of senior notes on April 16, 2013. The notes comprise fixed-rate series due in 2020, 2023 and 2025, with rates ranging from 3.23% to 4.28%. Accordingly, the company’s debt-free year-end balance sheet was expected to change after the reporting date.
  • The company had a $250 million unsecured revolving credit facility, entirely undrawn at year-end, maturing in August 2016 and subject to leverage and fixed-charge covenants. Management stated that the company was in compliance at December 31, 2012.
  • Primary risks include potash price and demand volatility, global oversupply, lower oil and gas drilling activity, production interruptions and complex geology, weather-sensitive solar evaporation, transportation constraints, labor availability, permitting and environmental liabilities, reserve estimate changes, and execution or cost overruns on strategic projects.
  • The company is exposed to environmental and reclamation matters, including potential water discharges, asbestos-related issues, historical contamination and tailings management. It recorded $0.9 million of environmental expense and spent $3.6 million on environmental capital projects in 2012.
  • The company has significant customer concentration: one distributor represented approximately 22% of 2012 sales and another approximately 9%. Approximately 95% of sales were to customers in the United States.

Important facts for investors to verify

  • Whether HB Solar Solution construction, commissioning, evaporation conditions and mill completion met the late-2013 production timetable and the $225 million to $245 million investment estimate.
  • The April 16, 2013 funding, terms, covenant compliance and subsequent carrying value of the $150 million senior notes.
  • East facility potash and langbeinite recovery rates, operating costs, and the additional capital required for the Langbeinite Recovery Improvement Project.
  • Actual 2013 potash and Trio® pricing, volumes, margins and inventory levels amid global supply and demand uncertainty.
  • Changes in environmental, reclamation, permitting and asset-retirement obligations, including the undiscounted $52.5 million reclamation estimate.
  • Whether the company’s planned $235 million to $285 million 2013 capital program could be funded from operating cash flow, existing liquidity and available credit without weakening financial flexibility.
  • The expected $1.5 million to $2.5 million pension termination expense and approximately $2.5 million of anticipated 2013 pension funding.
