Results are reported in thousands in the filing unless otherwise indicated. The improvement in GAAP operating income and continuing-operations earnings benefited from lower REIT-related costs and an $8.3 million gain on property disposals, primarily involving two facilities in the United Kingdom. Adjusted OIBDA increased only modestly because the gain and lower REIT costs are excluded from that measure.

Liquidity, debt, and balance sheet

  • Cash and cash equivalents were $169.9 million at March 31, 2014, compared with $120.5 million at December 31, 2013. Cash plus restricted cash totaled $203.8 million.
  • Total long-term debt was $4.344 billion, including $1.109 billion drawn under the revolving credit facility. Net of the current portion, long-term debt was $4.289 billion.
  • The revolving credit facility had $386.5 million of remaining borrowing availability, subject to borrowing-base and leverage-related limits. The average interest rate was 2.7%.
  • The company redeemed approximately $247.3 million of 7.25% GBP senior subordinated notes in January 2014, funded with revolver borrowings and cash.
  • Net total lease-adjusted leverage was 5.1 times versus a 6.5 times maximum; fixed-charge coverage was 2.5 times versus a 1.5 times minimum. The company states that covenant noncompliance could materially affect liquidity.
  • Quarterly dividends declared were $0.27 per common share, totaling approximately $52.3 million for the quarter. Approximately $66.0 million remained authorized for share repurchases, although no shares were repurchased during the quarter.

Material changes versus the prior comparable period

  • Internal revenue growth was 0.5%, with storage rental internal growth of 1.4% and service revenue internal growth of negative 0.7%. Acquisitions contributed approximately 4.0% to reported revenue growth, while foreign exchange reduced reported revenue growth by approximately 1.4%.
  • International Business revenue increased 9.7% and Adjusted OIBDA increased to $58.8 million from $47.9 million, supported by acquisitions, pricing, productivity, and cost management.
  • North American Records and Information Management revenue increased 1.4%, while its Adjusted OIBDA margin improved to 37.5% from 37.0%.
  • North American Data Management revenue declined 2.1%, and its Adjusted OIBDA margin declined to 56.1% from 60.1%, primarily because of lower service activity and limited cost flexibility.
  • SG&A declined 3.9%, largely because REIT costs fell to $8.3 million from $25.0 million. This benefit was partly offset by restructuring, acquisition-related costs, higher bad debt expense, and higher stock-based compensation.
  • Operating cash flow declined primarily because of working-capital timing, including cash interest and other operating-account payments.
  • Income from discontinued operations changed from $2.2 million of income to a $0.6 million loss, primarily because of legal reserves related to the previously sold Digital Business.

Guidance, outlook, commentary, risks, and unusual items

  • Management expects 2014 consolidated internal revenue growth of approximately 0% to 2% and capital expenditures of approximately $340 million, excluding potential future acquisitions and certain Conversion Plan capital expenditures.
  • The company is pursuing conversion to a real estate investment trust, subject to favorable IRS private letter rulings and other conditions. Management could not predict the timing or outcome of the IRS process.
  • Estimated operating and capital expenditures associated with the Conversion Plan through year-end 2014 were approximately $185 million to $200 million; approximately $10.5 million was incurred in Q1 2014.
  • Total estimated REIT conversion costs, including related tax payments, were approximately $395 million to $425 million. Future annual REIT compliance costs were estimated at $10 million to $15 million if the conversion succeeds.
  • The company expects to incur an additional approximately $3.3 million of restructuring severance and related costs during the remainder of 2014, after recording approximately $2.4 million in Q1.
  • If the REIT conversion succeeds, management anticipated special distributions of approximately $1.3 billion to $1.45 billion, with the remaining distribution expected primarily in common stock and up to 20% in cash.
  • Significant risks include high leverage and refinancing needs, covenant compliance, interest-rate and foreign-exchange volatility, declining retrieval and service activity, technology substitution, acquisition integration, international operating conditions, privacy and information-security liabilities, litigation, and uncertainty regarding the REIT conversion.
  • The company disclosed reasonably possible aggregate litigation losses of up to an additional $42.7 million over several years, some of which may be covered by insurance or indemnity arrangements. A separate government-contract billing matter could result in additional refunds, civil penalties, treble damages, or interest, but the filing does not provide a clear estimated exposure.
  • A February 2014 fire at an Argentina facility caused casualties among first responders. The company expects adequate insurance coverage and does not expect a material consolidated impact; revenue from the facility was less than 0.5% of consolidated revenue.
  • Goodwill was approximately $2.466 billion at March 31, 2014. An interim impairment test triggered by the segment reorganization found no goodwill impairment, although certain goodwill allocations remained preliminary.

Important facts for investors to verify

  • Progress toward the company’s 2014 internal revenue-growth target and whether service-activity declines continue to moderate.
  • Operating cash flow conversion, working-capital trends, and funding requirements relative to planned capital expenditures and REIT-related outlays.
  • Leverage, revolver availability, covenant headroom, refinancing plans, and the effect of future dividends or special distributions on liquidity.
  • Final purchase-price allocations for 2014 acquisitions and the resulting goodwill and intangible-asset balances.
  • Developments in the GSA pricing and billing matter, Massachusetts tax assessments, litigation reserves, and insurance recoveries related to facility fires.
