- Revenue fell 65.3% year over year. Paper-product sales volume declined 62.6%, to 18,670 tonnes. CMP accounted for nearly all revenue; offset printing paper and tissue products recorded no sales in Q1 2024.
- Cost of sales fell 67.8%, faster than revenue, and the company returned to gross profit. Lower recycled-paper-board costs contributed: average CMP cost per tonne declined 9.9%; CMP selling prices also fell about 7%.
- SG&A increased 56.3%, to $3.901 million, principally attributed to depreciation on idle fixed assets during production suspensions. Consequently, operating loss widened by about $729,000. Net loss widened by about $1.013 million.
- Operating cash flow was positive but declined substantially year over year. It included $3.482 million of depreciation and was affected by a $1.847 million cash outflow from increased receivables. Investing cash outflow was $9,027; financing provided $422,488, primarily from short-term borrowing.
- At March 31, current assets were $30.015 million and current liabilities $24.574 million, implying working capital of approximately $5.441 million and a current ratio of 1.22. Current assets included $17.677 million of prepayments and other current assets, largely VAT recoverable ($13.328 million).
- Short- and long-term bank loans totaled $12.204 million; $8.117 million of long-term loans was classified current. The filing lists $8.117 million of long-term loan repayments for the remainder of 2024. Other payables included $11.147 million due for property, plant and equipment purchases. Restricted cash was $903,540.
Material changes and operating developments
- Management attributed the sales decline mainly to CMP production suspension in January and February, planned production scheduling ahead of energy-price increases, and Chinese New Year. CMP production resumed in mid-March. Offset printing paper and tissue production were suspended amid higher natural-gas prices and the holiday; management expected both to resume in Q3 2024.
- CMP utilization on the PM6 regular-paper line fell to 15.11%, from 44.49% a year earlier. CMP tonnes sold fell 62.4%; the average selling prices of regular and light-weight CMP were $368 and $355 per tonne, respectively.
- Cash and bank balances rose from year-end, but restricted cash also increased. Some restricted deposits secure bank acceptance notes; other deposits are restricted in connection with litigation involving Tengsheng Paper’s legal representative.
- Property, plant and equipment, net, declined to $160.205 million from $163.974 million, primarily reflecting depreciation. The company reported approximately $3.481 million of outstanding capital commitments, mainly for the PM10 tissue-paper production line and building improvements, expected to be paid over one to three years.
Outlook, risks, contingencies and unusual items
- No formal financial guidance or quantified full-year outlook is provided. Management’s stated production-resumption expectation for offset printing paper and tissue products is Q3 2024; actual timing and economics remain uncertain.
- The company guarantees a major raw-material supplier’s long-term borrowing of approximately $4.369 million, maturing at various times in 2028. The company states supplier insolvency could materially adversely affect it.
- A New York lawsuit brought by FT Global Capital alleges breach of contract. In an April 15, 2024 order, the court stated the company was in default and struck its answer; FT Global filed for default judgment on April 18. The filing does not report a final judgment or quantify the potential exposure.
- A separate PRC civil loan dispute involves Tengsheng Paper and its legal representative. The PRC court ordered RMB3.35 million of deposits frozen in December 2023. The filing warns that adverse outcomes in either proceeding could materially affect the company.
- The VIE structure depends on contractual arrangements rather than direct equity ownership of Dongfang Paper. The company cautions that PRC legal or regulatory action could impair enforcement of those arrangements or lead to penalties or deconsolidation.
- Two suppliers represented 75% and 15% of Q1 purchases, creating supplier concentration. Cash held in PRC financial institutions above the stated deposit-protection limit totaled $4.709 million at quarter-end. The company reports foreign-exchange exposure and no currency hedging.
- Management reported disclosure controls and procedures were effective at the reasonable-assurance level as of March 31, 2024, with no material change in internal control over financial reporting during the quarter. No subsequent event was reported in the financial-statement notes.
- Disclosure inconsistency: The MD&A describes the operating-loss change as a decrease, but the statements show the loss increased from $2.772 million to $3.502 million. It also describes net loss as a decrease, although the reported loss increased from $2.733 million to $3.747 million. The financial statements are used above.
Important facts for investors to verify
- Whether Q3 production resumptions occur as expected, and whether operating volumes, selling prices and margins recover.
- The status and potential financial exposure of the FT Global Capital default-judgment motion and the PRC deposit-freeze litigation.
- The timing and funding plan for $8.117 million of scheduled 2024 loan repayments, alongside capital commitments and payables for equipment purchases.
- Recoverability and timing of the substantial VAT receivable and other prepayments, and collection of the increased accounts receivable balance.
- Exposure under the $4.369 million supplier guarantee, supplier concentration, and the availability of restricted and PRC-held cash.
- The continuing validity and enforceability of the VIE arrangements under PRC law, and the filing’s inconsistent MD&A descriptions of loss trends.
