Gross margin increased to 33.7% from 30.9%, primarily reflecting higher revenue, pricing actions and productivity savings, partly offset by inflation in labor, raw materials and overhead. The effective tax rate increased to 20.2% from 19.7%, including a $14.2 million Italian tax audit expense, partly offset by German deferred-tax valuation allowance reversals and a $4.9 million amended federal tax return benefit.

  • Segment revenue: MT $1,457.8 million, up 6.1%; IP $1,129.6 million, up 16.3%; CCT $699.4 million, up 8.3%.
  • Segment operating margins: MT 15.8%, IP 21.6%, and CCT 15.4%. IP margin expanded 230 basis points, while CCT margin declined 250 basis points.
  • Cash and working capital: Cash and cash equivalents were $489.2 million at year-end, versus $561.2 million in 2022. Improved operating cash flow was primarily driven by working-capital improvements, including inventory management and collections.
  • Capital allocation: Capital expenditures were $107.6 million; dividends paid were $95.8 million; and open-market share repurchases were $60.0 million. The company had $78.8 million remaining under its 2019 repurchase authorization and a new $1.0 billion authorization that begins after the 2019 plan is completed.
  • Debt: Total debt was $193.4 million, down from $458.7 million, including $184.9 million of commercial paper and $8.0 million of long-term debt. ITT had no revolver borrowings and $700 million of available revolving capacity, potentially expandable to $1.05 billion.
  • Contractual obligations and contingencies: Recorded environmental liabilities were $56.0 million, with a reasonably possible high-end estimate of $98.2 million. Postretirement obligations were $150.2 million, with only $0.4 million of plan assets.

Material changes versus the prior comparable period

  • Revenue growth reflected volume increases and pricing, particularly in IP aftermarket, MT Friction original-equipment business, and CCT components. Organic revenue increased 8.1%, excluding acquisitions and foreign currency.
  • IP was the primary operating-income growth driver, benefiting from strong aftermarket and project activity, productivity savings and the Habonim acquisition. IP backlog increased 16.7% to $676.8 million.
  • CCT operating income declined 7.2%, mainly because of a $15.3 million loss on the sale of Matrix Composites and higher input costs, partly offset by revenue growth, productivity savings and a $7.2 million product-line sale gain.
  • ITT acquired Micro-Mode for $79.3 million in May 2023, adding high-bandwidth RF connectors for defense and space applications. The purchase-price allocation remained subject to finalization at year-end.
  • ITT divested Matrix in December 2023 for $1.0 million of cash proceeds and sold a CCT product line for $10.5 million, recognizing a $7.2 million gain.
  • Commercial paper declined by $263.4 million year over year, reducing short-term borrowings and total debt.
  • Foreign currency translation improved comprehensive income in 2023, compared with a material translation loss in 2022.

Guidance, outlook, commentary and risks

The filing does not provide formal 2024 revenue or earnings guidance. Management expects sufficient liquidity to fund operations for at least the next 12 months and beyond. The company expects supply-chain disruptions, raw-material volatility, inflation and skilled-labor shortages to continue in 2024, although pricing actions, fixed-price supplier contracts and productivity initiatives have mitigated much of the impact.

On January 19, 2024, ITT completed the approximately $410 million acquisition of Svanehøj Group A/S, a Danish supplier of pumps and aftermarket services for cryogenic marine applications. A related €300 million term loan facility was entered into, of which €275 million was used to finance the acquisition. This transaction is not reflected in the December 31, 2023 balance sheet.

  • Major risks include global economic weakness, geopolitical conflicts, foreign-exchange movements, tariffs, raw-material prices, supplier concentration, manufacturing interruptions and customer cyclicality.
  • Continental AG represented approximately 7.3% of 2023 consolidated revenue and 16% of MT revenue. A new ten-year aftermarket supply agreement became effective January 1, 2024 and is expected to generate more than $1 billion of revenue over its term.
  • Energy, chemical and mining customers represented approximately 10%, 9% and 4% of 2023 revenue, respectively, and may defer capital projects during market downturns.
  • ITT reported no cybersecurity incident with a material effect in 2023 and stated that its disclosure controls and internal control over financial reporting were effective. Micro-Mode was excluded from the internal-control assessment because of the acquisition timing.
  • Environmental, product-liability, government-contracting, tax, anti-corruption and legacy indemnity matters could produce costs exceeding recorded reserves. The company states that existing legal proceedings are not expected to have a material adverse impact, but acknowledges uncertainty.

Most important facts for investors to verify

  • Verify the durability of IP’s backlog, aftermarket growth and 21.6% operating margin.
  • Assess whether CCT can recover margin after the Matrix divestiture loss and elevated input costs.
  • Evaluate the impact of the Svanehøj acquisition and new term loan on leverage, interest expense and cash flow in 2024.
  • Review exposure to Continental AG, international markets, foreign currency and cyclical energy, chemical and mining demand.
  • Reconcile reported EPS with adjusted EPS, including restructuring, divestiture, Russia-related and tax-related adjustments.
  • Monitor environmental liabilities, postretirement obligations, guarantees of $159.4 million and the potential high-end environmental exposure of $98.2 million.
  • Confirm that raw-material availability, skilled-labor constraints and pricing actions do not erode future margins.
