Filing identity and reporting period
Important identity check: The supplied filing is Tyco International Ltd.’s Form 10-K, not a filing by Johnson Controls International plc. It reports the 52-week fiscal year ended September 26, 2014; fiscal Q4 ended that date. Financial amounts are in U.S. dollars unless noted.
Tyco was a global provider of fire protection, security, and life-safety products and services. Its continuing operations comprised North America Installation & Services, Rest of World Installation & Services, and Global Products. The filing presents ADT Korea and certain other businesses as discontinued operations.

- Revenue rose 2.7%; reported operating income declined 1.7%. The filing attributes much of the operating-income pressure to significant asbestos charges.
- Net income included $1.044 billion of income from discontinued operations, principally reflecting the ADT Korea sale. It is therefore not a clean measure of continuing performance.
- Cash from continuing operations less capital expenditures of $288 million was approximately $543 million, calculated from the reported figures. Working capital reduced operating cash flow by $53 million.
- Year-end total current assets were $4.751 billion and current liabilities were $3.471 billion. Debt as a share of debt plus shareholders’ equity was 23.9%, versus 22.3% a year earlier.
- Tyco repurchased approximately 42 million shares for $1.833 billion and paid $311 million in dividends during FY2014.
Fiscal Q4 2014
Revenue was $2.704 billion, compared with $2.610 billion in Q4 2013. Tyco reported a $76 million loss from continuing operations attributable to common shareholders and an $89 million net loss attributable to common shareholders in Q4 2014. The quarter included $225 million of Yarway asbestos settlement charges and $240 million of additional asbestos valuation charges; discontinued operations contributed a $13 million loss.
Segment results
| Segment | FY2014 revenue | FY2014 operating income / margin | Change versus FY2013 |

Global Products led organic growth, up 6.3%; North America and ROW organic growth were 1.0% and 1.9%, respectively. Corporate and Other reported a $620 million operating loss, including the asbestos charges, partly offset by legacy legal reversals and recoveries.
Material changes and transactions
- Revenue growth accelerated from 1.8% in FY2013 to 2.7% in FY2014, while organic growth increased from 0.8% to 2.6%. Acquisitions added $201 million to FY2014 revenue; divestitures reduced it by $107 million and currency movements by $82 million.
- Operating income decreased from $709 million to $697 million despite improved results in each operating segment, principally because corporate asbestos charges increased sharply. FY2014 asbestos-related charges totaled $462 million, compared with $12 million in FY2013.
- Tyco sold ADT Korea for an aggregate purchase price of $1.93 billion and recorded a net gain of approximately $1.0 billion in discontinued operations. It also received $250 million from the redemption of its remaining Atkore investment and recognized a $216 million net gain.
- Cash increased to $892 million; debt remained $1.463 billion. Shareholders’ equity declined to $4.647 billion from $5.098 billion, with substantial share repurchases among the year’s capital-allocation actions.
Outlook, risks, and contingencies
- Outlook: The filing does not provide specific FY2015 revenue or earnings guidance. Management expected FY2015 capital expenditures to exceed FY2014’s $288 million and depreciation expense. It forecast $100–$150 million of restructuring and repositioning charges; a separate estimate put restructuring and restructuring-related charges at $75–$100 million, excluding repositioning charges.
- Management said cash, operating cash flow, and available credit were expected to be sufficient for foreseeable operating and business needs. The company had a $1 billion undrawn revolving credit facility and no commercial paper outstanding at year-end.
- Asbestos: Tyco recorded $853 million of gross asbestos liabilities and $245 million of related insurance assets at year-end. A $325 million cash contribution to a proposed Yarway trust was subject to plan approval and other conditions. Tyco also expected to contribute approximately $275 million to a separate qualified settlement fund within 12 months to purchase dedicated insurance. Estimates depend on claim experience, insurance recoveries, and other uncertain assumptions.
- Tax dispute: The IRS asserted approximately $883 million in additional tax plus $154 million in penalties, excluding interest, over 1997–2000 intercompany debt treatment; approximately $30 million of additional partnership tax was also expected to be asserted. Tyco contested the assessments. A Tax Court trial was scheduled for February 2016. The IRS position could also affect deductions on approximately $6.6 billion of debt in later periods.
- Other legal and regulatory matters: Environmental remediation costs were estimated at $38–$79 million, with a $42 million best estimate. Tyco recorded a $10 million charge related to prevailing-wage litigation. In November 2014, after year-end, it disclosed Navy inquiries into certain firefighting foam products, suspended sales of some products, and noted potential government-contract and litigation consequences.
- Corporate transition: Shareholders approved a merger intended to change Tyco’s place of incorporation from Switzerland to Ireland, expected to take effect in November 2014. The filing identifies potential effects on shareholder rights, dividends, taxes, and share transfers; Irish distributable reserves required court approval before ordinary distributions could generally be made.
- Other material risks include economic and construction cyclicality, competitive pricing, foreign-exchange and commodity exposure, customer attrition, cybersecurity, regulatory compliance, and the ability to execute restructuring and acquisition plans. Management and the auditor reported effective internal controls over financial reporting; the financial-statement audit opinion was unqualified.
Key facts for investors to verify
- Confirm the issuer: this document is Tyco International Ltd.’s 10-K, not Johnson Controls International plc’s filing.
- Separate continuing-operations earnings from the ADT Korea-related discontinued-operations gain when assessing FY2014 profitability.
- Review asbestos assumptions, insurance-asset recoverability, the proposed Yarway trust’s approval status, and the expected qualified-fund cash contribution.
- Track the IRS dispute, related tax-sharing obligations, and potential exposure beyond the stated assessments.
- Reconcile reported segment improvement with lower consolidated operating income, elevated corporate costs, and the planned FY2015 restructuring and capital spending.
- Verify completion and effects of the Ireland merger, including dividend capacity and any changes to shareholder or trading arrangements.
