Management said excess liquidity was sufficient to meet modeled contingent cash outflows for at least 30 days without reducing the balance sheet. Total long-term capital was $17.70 billion, exceeding modeled cash capital requirements. Operating cash flow was affected by movements in trading and financing balances, including higher financial instruments owned, securities borrowed and reverse repos.
Business results and changes versus prior year
- Investment Banking and Capital Markets: Segment net revenues were $4.50 billion, down 5.0%. Investment banking revenues fell 20.7% to $2.29 billion, primarily as advisory activity and fees declined; advisory revenues were down 32.6%. Capital markets revenues rose 19.5%: Equities increased 6.6% to $1.12 billion and Fixed Income increased 36.5% to $1.09 billion.
- Asset Management: Segment net revenues fell to $188.3 million from $1.24 billion, and the segment recorded a $162.7 million pretax loss versus $276.5 million pretax earnings. Merchant banking results were negative, reflecting portfolio changes and losses on OpNet and Golden Queen. Prior-year results included gains from the Oak Hill sale and a HomeFed real estate project.
- Expenses: Non-interest expenses declined 11.7% to $4.35 billion, mainly due to lower cost of sales and depreciation after portfolio divestitures. Compensation fell 2.1% to $2.54 billion, but rose to 53.9% of net revenues from 43.3%, reflecting the changed revenue mix. Higher technology, business development and professional services costs partly offset expense reductions.
- Portfolio changes: Jefferies distributed Vitesse Energy to shareholders in January 2023. It obtained control of Stratos and consolidated it from September 14, 2023, and consolidated OpNet at November 30, 2023. Foursight was classified as held for sale under an agreement to sell it, with closing expected in January 2024.
Outlook, risks and unusual items
- Management said the investment banking backlog had strengthened from the prior quarter and reported signs of a pickup in underwriting and M&A activity. It cautioned that execution and timing remain uncertain and depend on market conditions. The filing gives no formal earnings or revenue guidance.
- Jefferies continued hiring and investment in its investment banking franchise and expanded its strategic alliance with SMBC Group. SMBC held 9.1% of common stock on an as-converted basis at year-end.
- Major disclosed risks include market, credit and liquidity exposures; funding costs and credit-rating downgrades; dependence on subsidiary distributions subject to regulatory restrictions; cybersecurity and operational disruption; and legal, regulatory and geopolitical developments. Management reported no known material cyber-attack losses and said pending legal matters were not expected to materially adversely affect the consolidated financial statements.
- Jefferies recorded $57.2 million of impairment losses related to Golden Queen before selling its interest in November 2023 for a $1.7 million gain. It recognized a $115.8 million remeasurement gain on consolidating OpNet and recorded $90.8 million of gains related to OpNet preferred instruments. The auditor identified fair-value measurement involving significant unobservable inputs or complex models as a critical audit matter; the audit opinion on the financial statements was unqualified.
- The company paid $1.20 per common share in regular dividends during FY2023 and returned about $985.8 million to common shareholders, including the Vitesse distribution and share repurchases. The board declared a $0.30 quarterly dividend in January 2024. Management did not expect a material FY2024 tax-provision impact from the corporate alternative minimum tax; Pillar Two rules were expected to apply beginning December 1, 2024.
