Contractual obligations totaled €411.6 million, including €167.4 million of lease liabilities.
Current assets were €206.6 million and current liabilities were €288.3 million, resulting in net current liabilities of €82.3 million. Inventories were €107.2 million and trade receivables were €45.7 million. The company had approximately $13 million of undrawn bank credit lines.
Material changes versus the prior comparable period
- Revenue was broadly flat, increasing 0.9%, while gross margin improved due to lower cost of sales, reduced old inventory and economies of scale.
- General and administrative expenses declined 9.7% to €138.2 million, reflecting cost optimization and scale benefits. Marketing and selling expenses increased slightly to €226.8 million.
- Non-underlying losses fell sharply to €3.9 million from €83.1 million in 2022. The prior-year amount included approximately €74.5 million of IFRS 2 listing-related expense and €9.7 million of listing expenses associated with the reverse recapitalization.
- Lanvin revenue declined 6.8% to €111.7 million during a creative transition with fewer major product and marketing initiatives. Its contribution loss improved to €12.0 million from €15.3 million.
- Wolford revenue increased 0.6% to €126.3 million, but gross margin fell to 66.0% from 68.7%, primarily due to higher logistics costs.
- St. John revenue increased 5.3% to €90.4 million, with gross margin improving to 63.5% from 61.3%.
- Sergio Rossi revenue declined 3.9% to €59.5 million as the group shifted toward direct-to-consumer channels; contribution profit improved to €7.3 million.
- Caruso was the strongest growth segment, with revenue up 29.8% to €40.0 million and contribution profit up 65.8% to €9.5 million, helped by the post-pandemic recovery in formalwear.
- Greater China revenue increased 8.8% to €53.2 million, while EMEA revenue declined 1.9% to €201.9 million. DTC revenue was essentially flat and wholesale revenue declined 1.7%.
Guidance, outlook, risks and unusual items
- Management did not provide a clear numerical revenue, EBITDA or profitability outlook in the filing. It expects to incur losses and negative operating cash flows over the next several years and may require additional funding.
- The going-concern assessment depends on Fosun International continuing to provide adequate support for at least 36 months from the financial statement issuance date. The group reported accumulated losses of €571.9 million at December 31, 2023.
- The December 2023 Meritz transaction involved repurchasing one convertible preference share and 4,999,999 ordinary shares for $54.5 million and issuing 19,050,381 ordinary shares for $69.5 million. Meritz has put, security, underwriting-fee and other rights that could require substantial future cash payments or share repurchases.
- Subsequent to year-end, the company agreed to repurchase 5,245,648 additional ordinary shares from Meritz for $20.0 million in installments through August 2024. Additional repurchases may be required if the specified coverage ratio falls below 150%.
- Management identified material weaknesses in internal control over financial reporting, including deficiencies in information-technology access and segregation of duties, accounting policies and documentation, period-end reporting, journal entries, contingent consideration and account reconciliations. Disclosure controls were therefore not effective at December 31, 2023.
- Litigation includes a Cantor Fitzgerald claim seeking approximately $5.18 million plus interest and attorneys’ fees. Minority shareholders of Arpège SAS continue to challenge the group-level use of the Lanvin name; no formal proceedings had been brought as of the filing date.
- The Lanvin brand impairment cushion is comparatively limited: management reported that the Lanvin cash-generating unit and brand exceeded carrying value by approximately 23.2% and 14.9%, respectively. Failure to meet revenue or profitability assumptions could trigger impairment.
- Other risks include brand and fashion-cycle exposure, inventory obsolescence, consumer spending, inflation, foreign-exchange volatility, geopolitical conflict, supply-chain disruption, PRC regulatory uncertainty, restrictions on cash transfers, cybersecurity and potential PCAOB inspection-related NYSE delisting risk.
- The company does not expect to pay ordinary-share dividends in the foreseeable future. It paid $1.0 million dividends on the convertible preference share in both 2022 and 2023; that preference share was repurchased in December 2023.
