The company recorded a $1.78 million net credit-loss provision, compared with a $0.18 million reversal in Q1 2023. Net interest margin is not clearly provided in the filing.

Operating cash flow was $9.1 million, investing cash flow was $80.1 million (principally loan principal repayments), and financing cash flow was negative $76.0 million, including $71.2 million of CLO debt repayment and common and preferred dividends. Cash, cash equivalents and restricted cash increased $13.1 million.

Material changes and portfolio

  • Net interest income increased $4.7 million year over year, reflecting a larger average loan balance, higher floating rates and spreads, and other factors. Higher average borrowing balances, rates and spreads partially offset the increase.
  • The portfolio had 81 senior secured loans with $1.300 billion unpaid principal balance; all were floating-rate, with a weighted-average coupon of 8.9% and remaining term of 2.7 years. Multifamily represented 93.6% of loan collateral.
  • Q1 loan payoffs totaled $97.4 million; no purchases, advances or originations were reported. The CLO reinvestment period expired in December 2023; LMF 2023-1’s reinvestment period runs through July 2025.
  • The average internal portfolio risk rating remained 3.5. The filing says 76.9% of net carrying value was rated moderate risk or better. The allowance for loan credit losses increased to $7.8 million from $6.1 million, attributed primarily to macroeconomic assumptions reflecting softer CRE prices.

Outlook, risks and unusual items

  • No earnings or portfolio guidance is provided. Management expects existing resources and arrangements to cover anticipated short-term liquidity needs of one year or less; longer-term needs may require additional debt or equity financing.
  • Management cites elevated interest rates, inflation, economic and geopolitical uncertainty, CRE market weakness, borrower refinancing difficulty, credit deterioration, prepayments and financing availability as risks. Higher rates can support asset income but may strain borrowers and increase defaults.
  • Two multifamily loans totaling approximately $37.5 million were on non-accrual status and risk-rated 5 at quarter-end: a $17.3 million Brooklyn loan facing expected maturity default and a $20.3 million Georgia loan in monetary default. No specific allowance was recorded for either after collateral-value analysis.
  • A $13.5 million insurance recovery on a defaulted Columbus multifamily loan reduced its carrying value to zero and contributed approximately $2.5 million of Q1 income after related costs and recoverable amounts. A Virginia Beach loan was modified, returned to accrual, and repaid in full on May 3, 2024.
  • Financing included $1.076 billion of consolidated CLO and secured-financing liabilities, described as non-recourse and not subject to mark-to-market margin calls, plus a $47.8 million recourse secured term loan at 7.25%, maturing in February 2026. Total debt-to-equity was 4.6:1 on a GAAP basis; recourse debt-to-equity was 0.2:1. The company reported compliance with term-loan covenants and securitization coverage tests.
  • Other exposures include $6.7 million of company unfunded loan commitments and a maximum potential $101 million of legacy mortgage repurchase backstop guarantees; MAXEX assumed the obligations and agreed to indemnify FOAC. Management reported no known circumstances expected to trigger a backstop obligation. No material litigation or material changes to previously disclosed risk factors were reported.

Important facts for investors to verify

  • Whether higher credit provisions, deteriorating CRE conditions or borrower defaults will affect future earnings and the allowance.
  • Performance and resolution timing of the Brooklyn and Georgia non-accrual loans, and the company’s stated risk-rating and “100% current” portfolio disclosures.
  • How much of the Q1 earnings increase is repeatable, given the approximately $2.5 million Columbus insurance-related income and higher incentive fees.
  • Whether the $0.07 common dividend is supported by recurring earnings and taxable income; Distributable Earnings is non-GAAP and is not cash flow or a liquidity measure.
  • Ability to manage leverage, refinance or replace funding, and maintain liquidity as loan repayments reduce the portfolio and the 2021-FL1 reinvestment period has ended.
  • Accuracy of the reported book-value and per-share figures, portfolio risk and allowance assumptions, and the contingent backstop and unfunded-commitment disclosures.
