The filing states that the company had approximately $40.7 million in cash and cash equivalents and marketable securities at year-end.

Financial results and key metrics

Net sales$1,728$1,655
Net investment income$1,566$413
Net gains (losses) on investments$384($4,747)
Continuing-operations income (loss) before tax$646($6,406)

  • Net sales increased 4.4%. PTF reported $152 of pretax segment income versus $103 in 2022; gross margin rose to 53.9% from 49.4%, mainly due to product mix.
  • The return to positive earnings primarily reflects higher investment income and a reversal from 2022 investment losses, including losses on IronNet, rather than a large increase in manufacturing sales. Net investment income rose as capital was shifted toward higher-yielding U.S. Treasury money market funds; 2023 net gains included realized gains from investment sales.
  • Engineering, selling and administrative expense declined 22.6% to $2,236, primarily due to lower corporate salaries, share-based compensation and professional fees. Income tax expense was $301; the effective tax rate was 46.5%.
  • Fourth quarter: revenue was $995, net sales were $446, and net income attributable to LGL common stockholders was $134. Basic EPS was $0.03 and diluted EPS was $0.02.

Balance sheet, liquidity and cash flow

  • Year-end cash and cash equivalents were $40,711, compared with $21,507 a year earlier; marketable securities were $22, compared with $16,585. Total assets were $41,850 and total liabilities were $1,168.
  • Current assets were $41,566 and current liabilities were $474, producing working capital of $41,092 and a reported current ratio of 87.7x. The balance sheet presents no borrowings or separate debt balance; lease obligations totaled $75.
  • Operating activities provided $385. Investing activities provided $18,819, mainly reflecting proceeds from marketable-security sales and $1,872 from consolidation of non-controlling interests. Financing cash flow was zero. Cash increased by $19,204 during the year.
  • Management believes cash, marketable securities and operating cash generation will be sufficient for working capital and capital expenditures for the next 12 months and the foreseeable future. No cash dividends are expected for the foreseeable future.

Material changes, outlook and risks

  • Backlog declined to $143 from $360, principally because a large fourth-quarter 2022 contract did not recur. Management expects to fill a substantial portion of year-end backlog in 2024, but gives no assurance; backlog may be canceled, deferred or revised.
  • International sales rose to $675, or 39.1% of sales, from $460, or 27.8%. The four largest customers accounted for 50.2% of 2023 sales; the largest accounted for 23.1%.
  • In June 2023, LGL began consolidating LGL Systems after determining it was the primary beneficiary of the variable-interest entity. LGL held 34.8% of LGL Systems; year-end non-controlling interests were $1,920. The consolidation analysis was identified as a critical audit matter.
  • LGL changed its segment reporting and presentation of investment income and gains in 2023, applying the presentation change retrospectively. The filing says this did not affect equity, net income or EPS.
  • Management cites inflation, changing interest rates, cyclical end markets, customer concentration, supply-chain constraints, key-personnel needs and reliance on a single manufacturing line as risks. Merchant Investment returns may be volatile and investments may lose value; LGL also must monitor the risk of becoming subject to the Investment Company Act.
  • Other items to monitor include a $678 liability for unrecognized tax benefits and the possibility that the MtronPTI spin-off could be found taxable, despite the company’s stated tax-free intent. The filing reports no material pending legal proceedings and no cybersecurity threats identified as materially affecting, or reasonably likely to materially affect, the company as of the report date.
  • PKF O’Connor Davies replaced RSM as auditor in April 2023. The filing reports no disagreements or reportable events associated with the change. The 2023 financial statements received an unqualified audit opinion; management concluded disclosure controls and internal control over financial reporting were effective. The auditor was not engaged to opine on internal-control effectiveness.

Important facts for investors to verify

  • Whether investment income and gains are repeatable, and how much of reported profitability depends on investment returns rather than PTF operations.
  • The composition, liquidity, fair value and related-party exposure of the approximately $40.7 million cash and investment balance, including the reported $32.6 million balance associated with GAMCO-managed funds at year-end.
  • PTF’s customer concentration, the reduced backlog, and the conversion of orders into 2024 sales and cash flow.
  • The terms, performance and consolidation accounting for LGL Systems and related investment vehicles, including minority interests and potential investment losses.
  • Potential tax exposure related to the MtronPTI separation and the $678 of unrecognized tax benefits; also review the warrant terms, including the $4.75 exercise price, $6.65 acceleration trigger and November 16, 2025 expiration.
