Material changes versus the prior year

  • Sales rose 21%, principally reflecting a $481 million favorable contribution from OSB pricing and 15% growth in SmartSide sales. OSB shipment volume fell 5% overall.
  • OSB sales increased 57% to $1.220 billion and segment Adjusted EBITDA rose to $519 million from $10 million. Siding sales increased 5% to $959 million and Adjusted EBITDA rose 46% to $246 million.
  • EWP sales declined 2% to $389 million; South America sales increased 6% to $169 million, despite $27 million of unfavorable currency movements.
  • LP reported $16 million of impairment losses and $8 million of product-line discontinuance charges in 2020. The prior year included $92 million of impairment losses. The filing also cites $20 million of fiber discontinuance costs in its executive summary; the components and presentation differ across the filing.

Outlook, commentary, and risks

Management reported that housing starts and repair-and-remodel activity increased overall in 2020 after an initial COVID-19-related slowdown. OSB prices rose sharply, but LP cautioned that commodity pricing is volatile and it cannot predict whether prices will hold, rise, or fall. No specific earnings or revenue guidance is provided.

LP expected 2021 capital expenditures of $220–$230 million, including $80–$85 million for the Houlton conversion. In February 2021, after year-end, LP announced plans to convert Houlton to SmartSide production, later convert Sagola, Michigan, and explore strategic alternatives for EWP, including a possible sale. The announced siding conversions were expected to add about 520 million square feet of capacity and remove 670 million square feet of OSB capacity, on a 3/8-inch basis.

Key risks include dependence on housing activity and volatile OSB prices; wood-fiber, resin, energy, and transportation costs and availability; COVID-19 effects on operations and demand; manufacturing disruptions; environmental and product-liability matters; foreign-exchange exposure; and debt covenants. Environmental and other contingency reserves totaled $14 million, but actual payments could materially exceed estimates. The company reported compliance with credit-facility covenants. Its financial statements received an unqualified audit opinion, and the auditor identified the assessment of the Peace Valley facility’s temporarily idled status as a critical audit matter.

LP paid quarterly dividends of $0.145 per share in 2020, totaling $0.58 for the year, and repurchased $200 million of stock. The board had authorized up to $500 million in total repurchases, with $300 million of capacity remaining at year-end.

Important facts for investors to verify

  • How sustainable the unusually strong 2020 OSB prices, earnings, and cash generation are under changing supply-and-demand conditions.
  • Execution, timing, costs, and capacity effects of the announced Houlton and Sagola conversions, and the outcome of the EWP strategic review.
  • The basis and reconciliation of the filing’s $20 million fiber discontinuance-cost reference against separately disclosed charges and impairments.
  • Whether environmental, warranty, pension, and other contingency estimates remain adequate, and whether 2021 capital spending and shareholder returns affect liquidity.
