Higher gross profit drove the increase in operating income.
Segments and business developments

- Performance Technologies: Q2 segment sales were $351.7, including $7.0 of intersegment sales; external sales were $344.7. Operating income was $33.6, versus $16.3. Pricing and favorable exchange rates supported sales, while volume was lower.
- Modine acquired substantially all operating assets of Napps Technology on July 1 for $5.8, adding chillers, condensing units and heat pumps to Climate Solutions. Napps has historical annual sales of approximately $5.0.
- Two U.S. coatings facilities were sold in September; the company recorded a gain of less than $0.1. Three German automotive businesses were classified as held for sale and sold on October 31, after quarter-end. The company expected the sale proceeds and gain or loss to be immaterial; final purchase-price adjustments remained pending.
Cash flow, balance sheet and liquidity
- First-half operating cash flow was $110.8, compared with $56.1 a year earlier. Management cited stronger earnings, partly offset by unfavorable working-capital changes, including higher incentive compensation payments.
- Capital expenditures were $26.2, up $3.2 year over year. Investing cash outflow was $34.4; financing cash outflow was $18.6.
- At September 30, cash and cash equivalents were $120.2, compared with $67.1 at March 31. Total cash, including restricted cash and cash held for sale, was $123.1. Approximately $71.0 of cash was held by non-U.S. subsidiaries and could be subject to withholding taxes if repatriated.
- Total debt, including current maturities, was approximately $342.6, down from $353.0 at March 31. The company had no borrowings under its revolving or swingline facilities and reported $269.4 of available revolver capacity, net of letters of credit. The term-loan weighted-average interest rate was 6.6%.
- Current assets were $898.0 and current liabilities were $493.1. Modine reported compliance with debt covenants and expected to remain compliant. Management stated that available liquidity should cover short- and long-term funding needs.
- The company repurchased $9.0 of shares during the first half and had $36.4 of authorization remaining at September 30.
Outlook, risks and unusual items
- The filing provides no specific full-year revenue or earnings guidance. Management noted that first-half results are not necessarily indicative of full-year results.
- Management’s stated strategic priorities include applying 80/20 principles, improving production efficiency, growing higher-margin technologies and expanding indoor air quality offerings. The German automotive divestiture is intended to redirect resources toward higher-margin technologies.
- Risks highlighted include economic and market uncertainty, inflation and materials costs, labor availability and costs, supply-chain and customer disruptions, foreign-exchange and interest-rate movements, product launches and warranty claims, environmental remediation, execution of restructuring and acquisitions, and realization of deferred tax assets.
- Environmental remediation accruals were $17.2. The company said ultimate costs could exceed accruals and outcomes remain uncertain, while currently expecting no material adverse effect on financial position. It also said additional losses from other litigation would not be expected to have a material effect.
- A $1.8 unrecognized tax benefit was released in Q2 following a statute-of-limitations lapse, favorably affecting the period’s effective tax rate. First-half warranty adjustments to pre-existing warranties were $3.1, compared with a $0.5 benefit in the prior-year period.
- Foreign-currency translation reduced comprehensive income by $12.7 in Q2 and $13.5 in the first half. The CFO adopted a Rule 10b5-1 plan covering potential sales of up to 80,000 shares from November 20, 2023 through May 20, 2024.
