  • Q3 operating margin was approximately 63.6%, versus 54.2% a year earlier; net margin was approximately 50.8%, versus 42.9%. For the nine-month periods, operating margin was approximately 66.8% versus 46.5%, and net margin approximately 51.1% versus 37.0%.
  • Q3 revenue rose 25%; nine-month revenue rose 87%. Higher realized prices drove the increases: realized price per REO metric ton was $11,636 in Q3, up 51%, and $13,130 for nine months, up 86%. Q3 sales volume fell 17%; nine-month production and sales volumes were broadly unchanged.
  • Production cost per REO metric ton increased 14% in Q3 to $1,653 and 12% for nine months to $1,661. Management cited higher materials, labor and energy costs, partly offset by operating efficiencies.
  • Cash provided by operating activities was $314.4 million for nine months, versus $70.5 million. Capital expenditures, net of government construction-award proceeds, were $209.2 million; reported free cash flow, a non-GAAP measure, was $105.2 million versus negative $13.3 million.
  • Cash, cash equivalents and short-term investments totaled $1.264 billion at September 30, 2022, including $836.3 million of short-term investments. Total assets were $2.189 billion; stockholders’ equity was $1.242 billion.
  • Long-term convertible notes had $690 million principal outstanding, with a $677.6 million net carrying value. Equipment notes totaled $7.8 million. The notes bear 0.25% interest and mature in 2026; no financial covenants were reported. Current liabilities were $74.7 million.

Material changes and significant items

  • Q3 product-sales growth reflected higher realized prices, partly offset by lower sales volume. Nine-month other sales included $8.5 million from rare earth fluoride stockpile sales.
  • Shenghe accounted for more than 90% of product sales. Related-party product sales were $114.9 million in Q3 and $401.5 million for nine months. The company’s 2022 offtake agreement with Shenghe has a two-year initial term and take-or-pay provisions, subject to terms and exclusions.
  • MP repaid the Shenghe prepaid balance in March 2022 and terminated the prior amended offtake agreement. The remaining debt is principally the convertible notes.
  • Investment income contributed to higher other income. Nine-month 2021 results included a $3.4 million gain from forgiveness of a Paycheck Protection Program loan, which did not recur.
  • A revised reclamation plan approved in Q3 reduced the asset retirement obligation by $13.1 million. The change reduced property, plant and equipment by $10.4 million and reduced depreciation expense by $2.7 million. This estimate-related benefit boosted reported earnings.

Outlook, risks and contingencies

  • Stage II separation-facility construction was nearing completion and commissioning had commenced. COVID-related logistics and supply-chain issues had caused cost and schedule pressure, though management reported no pandemic-related reduction in production or sales.
  • Management expected approximately $350 million of capital-asset spending in 2022, including Stage II, the heavy rare earth project, Fort Worth construction and other investments. Additional 2023–2024 spending was expected for project completion, but a clear amount was not provided. Management cautioned that costs and schedules could increase.
  • The Fort Worth facility is part of Stage III. Under a long-term agreement, MP plans to supply GM with rare earth materials, alloy and finished magnets for multiple vehicle models; a gradual production ramp was expected to begin in late 2023, starting with alloy.
  • The company identified price and demand volatility, dependence on Shenghe and China-linked markets, trade barriers, shipping and power disruptions, project execution, cost inflation, permitting and environmental obligations as material risks. Management said available cash and operating cash flows were expected to meet foreseeable needs, but did not assure this.
  • Environmental remediation liabilities had an estimated undiscounted cost of $27.3 million, with payments expected over 25 years. Required financial assurances of $43.4 million were satisfied through surety bonds. The company reported no pending or threatened litigation expected to have a material adverse effect; a $1.0 million labor settlement was paid in September 2022.
  • Management reported effective disclosure controls and no material changes in internal control over financial reporting. No material changes to previously disclosed risk factors were reported.

Important facts for investors to verify

  • How much of revenue and realized pricing remains dependent on Shenghe, China-market prices and currency movements, and how the current offtake terms affect cash realization.
  • Whether Stage II, the heavy rare earth project and Fort Worth facility meet stated schedules and budgets, including the planned capital spending and GM ramp.
  • Whether production volumes, recoveries and unit costs improve enough to offset inflation in labor, materials, energy and freight.
  • How much of reported earnings and cash generation reflects recurring operations versus investment income, non-GAAP adjustments and the one-time reclamation-estimate benefit.
  • Potential dilution from the convertible notes: the filing reported up to 19.7 million shares issuable under the conversion feature at the stated maximum share cap.
