- Q3 sales increased 6% in U.S. dollars and local currencies; nine-month sales increased 6% in U.S. dollars and 5% in local currencies. Q3 product sales grew 6% in local currency and service revenue, including spare parts, grew 8%.
- Gross margin improved year over year. Management attributed the increase to improved price realization and lower material costs, partly offset by unfavorable mix and currency.
- Q3 net earnings rose about 14% and nine-month net earnings about 11%. The nine-month effective tax rate was based on a projected annual rate of 24%.
- Cash used in investing activities was $64.4 million for the first nine months, including $61.4 million of capital expenditures. Financing used $198.3 million, including $296.5 million of share repurchases.
Financial position and liquidity
- At September 30, cash and cash equivalents were $126.3 million, total debt was $485.0 million, and shareholders’ equity was $848.9 million. Debt included $120.0 million classified as current. At December 31, 2013, cash was $111.9 million and total debt was approximately $413.0 million.
- Current assets were $872.9 million and current liabilities $650.9 million. The company reported $655.6 million of availability under its credit agreement and compliance with debt covenants.
- Operating cash flow increased from $237.4 million to $278.2 million for the nine-month period, primarily due to working-capital timing, including receivables, partly offset by tax timing and higher incentive payments.
- The company spent $296.5 million repurchasing 1.19 million shares in the first nine months, versus $217.4 million and 1.00 million shares in 2013. Approximately $595.9 million remained authorized under its $3 billion repurchase program.
Changes, outlook and risks
- Sales growth was broad across regions; nine-month local-currency growth was 5% in the Americas, 5% in Europe and 4% in Asia/Rest of World. Laboratory-related sales benefited from volume and pricing; product inspection was a source of industrial growth.
- China’s industrial market remained weak, and the exit from certain industrial businesses reduced local-currency sales by about 1% for the nine-month period. Management said Chinese growth could be volatile and recovery timing uncertain.
- Management said market conditions had improved during the first nine months but remained uncertain, especially in emerging markets and Europe, and it remained cautious about sales growth. The filing provides no specific forward sales or earnings guidance. It states that operating results to date are not necessarily indicative of full-year results.
- Currency exposure is significant, particularly to the Swiss franc, euro and U.S. dollar. The filing describes potential annual pretax impacts from 1% currency movements and notes that exchange rates can also affect reported debt. Existing hedges mitigate some exposures.
- Restructuring charges were $1.1 million in Q3 and $4.4 million year to date, below $5.5 million and $13.7 million in the comparable 2013 periods. Nine-month comprehensive income was $176.1 million versus $212.9 million, reflecting a $41.0 million other-comprehensive loss, primarily currency translation.
- The company planned a further $125 million ten-year senior-note issuance in 2015. The filing gives differing timing: the debt note says June 2015, while MD&A says September 2015. It also reports a $100 million senior note due June 2015.
- Management did not expect pending legal proceedings, including environmental matters, individually or in aggregate to materially adversely affect financial condition, results or cash flows. The filing reports no material change in risk factors and states disclosure controls were effective.
Investor verification priorities
- Confirm the timing of the planned $125 million senior-note issuance; the filing contains inconsistent June versus September 2015 dates.
- Assess refinancing and liquidity needs around the $100 million note due June 2015, alongside current debt and planned repurchases or acquisitions.
- Track whether sales and margin growth persist, particularly given management’s cautious outlook, weak Chinese industrial conditions and uncertain European and emerging-market demand.
- Evaluate foreign-exchange sensitivity, hedge coverage and the impact of currency translation on earnings, comprehensive income and reported debt.
- Review cash-flow and working-capital trends, and the balance between buybacks, capital investment and potential acquisition spending.
