Outlook, unusual items and risks
- No quantified earnings or sales guidance is provided. Management describes growth priorities including pet care, specialty additives, high-temperature technologies, environmental products, innovation, operational efficiencies and selective acquisitions.
- Management expects approximately $95M of 2023 capital expenditures. It expected to contribute about $10.0M to pension plans in 2023; $6.3M had been contributed by October 1.
- In Q2, MTI began a restructuring program and recorded $6.9M of nine-month charges; $5.6M remained payable at October 1, with payment expected by the end of Q2 2024. Total nine-month impairment and restructuring charges were $78.6M.
- On October 2, 2023, subsidiaries Barretts Minerals Inc. and Barretts Ventures Texas LLC filed for Chapter 11 to address talc-related liabilities. MTI and its other subsidiaries were not included in the filing. Barretts was deconsolidated after the petition date; its talc assets are intended to be sold, with a proposed Section 524(g) trust as the ultimate resolution route. The filing followed the October 1 balance-sheet date.
- There were 562 open talc cases at October 1, up from 468 a year earlier. MTI says the amount needed to resolve current and future claims cannot be estimated and that additional losses beyond amounts recognized are reasonably possible. The scope of any Pfizer indemnity and potential exposure of non-debtor affiliates are among the uncertainties. The filing reports a temporary stay of claims against non-debtor affiliates through a scheduled November 14 hearing.
- MTI reported compliance with debt covenants. Its $300M revolving facility had $108.0M of borrowings and $10.6M of letters of credit outstanding. The largest scheduled debt maturities are $443.7M in 2027 and $400.0M thereafter. Management disclosed that a 1% interest-rate change, including derivatives, would change annual interest charges by approximately $4M.
- On October 18, the board authorized discretionary share repurchases of up to $75M over one year. This authorization occurred after the quarter-end.
