- Legal and environmental matters include 72 pending silica cases and 14 asbestos cases; management said it did not expect these claims to materially affect results or financial position. Accrued estimated remediation costs were $0.4m for the Canaan, Connecticut site and $0.4m for the Adams, Massachusetts site. Potential wastewater-treatment upgrades at Adams were preliminarily estimated at $6m–$8m.
Investor verification priorities
- Confirm the timing and terms of the October 2013 note refinancing and the resulting debt maturity and interest-rate exposure.
- Track execution and realized returns on the new $150m share-repurchase authorization, alongside planned capital expenditures.
- Assess whether margin gains, FulFill contributions and segment trends persist, particularly amid weak end markets and foreign-exchange impacts.
- Monitor final costs and remaining obligations related to the Walsum closure and the Canaan and Adams environmental matters.
- Review subsequent disclosures for developments in litigation, customer exposure, and management’s cautious economic outlook.
