Material changes versus prior comparable periods
- Q3 operating income increased $142 million and continuing-operations income increased $87 million. The prior-year quarter included a $336 million discontinued-operations loss, while the 2019 quarter had a $2 million loss; consequently, attributable net income improved by $444 million.
- Nine-month attributable net income rose to $1.055 billion from $280 million, substantially reflecting $399 million of discontinued-operations income in 2019 versus a $272 million loss in 2018. The 2019 discontinued result included a $330 million after-tax disposal gain for Yield/Renewables and Carlsbad, partly offset by related commitments and indemnification items.
- Q3 revenue increased $36 million, with retail revenue up $345 million and energy and capacity revenue down a combined $43 million. For the nine months, retail revenue rose $398 million, while energy and capacity revenue declined a combined $340 million.
- Reported operating costs fell $120 million in Q3 and $36 million for the nine months. Lower reorganization costs and depreciation contributed; Q3 also included a $107 million investment impairment, primarily a $101 million Petra Nova impairment.
- Interest expense fell $23 million in Q3 and $43 million for the nine months. NRG refinanced debt, repaid its $1.7 billion term loan, redeemed $733 million of 6.25% notes, and issued new notes. Management estimated interest savings of about $15 million in 2019 and $25 million annualized.
- Nine-month operating cash flow declined $206 million, partly because discontinued operations contributed $388 million less cash than in the prior period and working capital was a use of cash.
Outlook, management commentary, risks and unusual items
- Management expected to complete its Transformation Plan by the end of 2020. For 2019, it expected $590 million of cost savings and $135 million of margin enhancements, and approximately $95 million of one-time costs to achieve.
- NRG announced a dividend increase to $1.20 per share annually beginning in Q1 2020 and targeted subsequent annual dividend growth of 7–9%. Its long-term capital allocation policy targets 50% of cash available for allocation to growth investments and 50% to shareholder returns.
- NRG acquired Stream Energy’s retail business for $329 million on August 1, adding approximately 600,000 RCEs, or 450,000 customers. It also reported about 1,400 MW of third-party PPAs, with an average term of ten years.
- NRG contributed $95 million to Petra Nova and posted a $12 million letter of credit. The contribution prepaid project debt, canceled NRG’s previously disclosed guarantee of up to $124 million, and left remaining project debt non-recourse to NRG; NRG recorded a $101 million impairment of its investment.
- PG&E’s bankruptcy creates uncertainty for NRG’s Agua Caliente and Ivanpah investments and their PPAs. NRG’s stated maximum equity-investment exposure was $213 million for Agua Caliente and $28 million for Ivanpah. The projects had declared loan-agreement defaults; subsequent to quarter-end, Ivanpah entered a DOE forbearance agreement and NRG repaid the Agua Caliente notes.
- Key operating and market risks include volatile wholesale power and fuel prices, weather, generation outages, collateral demands, counterparty performance, regulatory and market-design changes, environmental compliance costs, cybersecurity, and access to financing. Market-risk disclosures quantify potential collateral changes of approximately $106 million for a $0.50/MMBtu natural-gas price move and $116 million for a 1 MMBtu/MWh heat-rate move.
- Potential legal and regulatory exposures include a FERC investigation concerning South Central market conduct and preliminary FERC findings regarding ISO-NE capacity-auction offers. The filing says NRG cannot predict outcomes or reasonably estimate costs for certain proceedings. An Illinois Pollution Control Board found coal-ash violations at four facilities; relief remained to be determined. The Sunrise Power lawsuit was dismissed on appeal after quarter-end.
- NRG said a release of a significant portion of its $3.6 billion domestic deferred-tax valuation allowance could become supportable within the next three months, potentially materially increasing net income; no release was recorded as of quarter-end.
Important facts for investors to verify
- Separate continuing-operations performance from discontinued-operations results and confirm the contribution of disposal gains to nine-month earnings.
- Assess operating cash generation, working-capital movements, and the sustainability of reported liquidity after share repurchases, acquisitions, and debt actions.
- Review leverage and secured-debt terms, collateral and letter-of-credit requirements, and the availability of the revolving facility.
- Track the outcomes of the PG&E bankruptcy and related PPAs, FERC proceedings, coal-ash matters, and any resulting impairment, guarantee, or contingency exposure.
- Monitor Petra Nova’s valuation and the assumptions behind the potential deferred-tax valuation-allowance release.
- Compare realized transformation savings, margin initiatives, dividend growth, and capital allocation with management’s stated targets.
