Q3 revenue increased 0.2%, while organic revenue growth was 7.5%. Foreign exchange reduced revenue by 6.3%, and net acquisition and disposition activity reduced revenue by 1.0%. For the first nine months, organic growth was 10.3%, offset by a 4.5% foreign-exchange headwind and a 5.9% reduction from net acquisitions and dispositions.

Nine-month operating cash flow was negative primarily because of a $1,483.1 million use of operating capital, including reductions in accounts payable and customer advances. Investing cash flow was $(406.9) million, including $276.9 million of acquisitions and $65.6 million of capital expenditures. Financing cash flow was $(1,089.6) million, including $437.7 million of common dividends and $502.2 million of share repurchases.

Long-term debt was $5,450.6 million. Omnicom had a $2.5 billion revolving credit facility, no borrowings under that facility during the first nine months, and was compliant with its leverage covenant at 2.3 times versus a maximum of 3.5 times.

Material Changes Versus the Prior Comparable Period

  • Q3 operating profit and margin improved modestly, despite significant currency pressure; nine-month operating profit declined $134.8 million and margin fell 130 basis points.
  • Nine-month net income attributable to Omnicom declined $104.9 million, and diluted EPS fell $0.31. Share repurchases and lower weighted-average shares partly offset the earnings decline.
  • The nine-month results included $113.4 million of pretax charges related to the war in Ukraine, primarily associated with the disposition of Russian businesses and the suspension of Ukrainian operations. The after-tax effect reduced Omnicom net income by $118.2 million and diluted EPS by $0.57.
  • The 2021 comparison benefited from a $50.5 million gain on dispositions. The combined effect of that gain and a 2021 loss on early debt redemption increased 2021 net income by $31.0 million and diluted EPS by $0.14.
  • Q3 revenue growth was led by Precision Marketing, Public Relations and Commerce & Brand Consulting. Advertising & Media, Experiential and Execution & Support declined on a reported basis.
  • For the first nine months, Precision Marketing, Experiential, Public Relations, Healthcare and Commerce & Brand Consulting grew, while Advertising & Media and Execution & Support declined on a reported basis.
  • Foreign currency translation reduced comprehensive income by $520.3 million during the first nine months and reduced cash by $371.2 million.

Guidance, Outlook, Commentary and Risks

Using exchange rates as of October 12, 2022, management expected foreign exchange to reduce Q4 and full-year 2022 revenue by approximately 6.5% and 5.25%, respectively. Based on acquisition and disposition activity to date, management expected net acquisitions and dispositions to reduce Q4 and full-year revenue by approximately 1.4% and 4.7%, respectively. The filing does not provide a full-year revenue, earnings or margin target.

Management reported continued improvement in client spending after the pandemic, but noted that China lockdowns continued to affect Experiential activity. Management expects operating cash flow to fund non-discretionary requirements over the next 12 months and believes the revolving credit facility will support longer-term liquidity needs.

  • Principal risks include reduced or delayed client spending, client credit deterioration, inflation, rising interest rates, supply-chain disruption, the war in Ukraine, COVID-19 effects, foreign-exchange volatility and adverse credit-market conditions.
  • Omnicom may be exposed to losses on media and production commitments made on behalf of clients, particularly where sequential-liability protections do not apply or clients default.
  • Goodwill was $9,499.7 million at September 30, 2022. The June 30, 2022 impairment test found no impairment, but management identified sensitivity to higher discount rates and lower long-term growth.
  • Unrecognized tax benefits were $162.3 million, of which approximately $157.2 million could affect the effective tax rate when resolved.
  • The Inflation Reduction Act’s 1% excise tax on net stock repurchases beginning in 2023 was not expected by management to have a material impact, although the analysis was ongoing.
  • Legal proceedings were described as ordinary-course matters not presently expected to have a material adverse effect.
