Revenue growth consisted of 2.9% organic growth and 0.5% growth from acquisitions net of dispositions, partially offset by a 0.6% foreign-exchange impact. By geography, revenue increased 4.2% in the United States, 5.7% in the United Kingdom and 2.8% in other markets, while Euro-market revenue declined 3.4%.
By discipline, advertising revenue increased 5.7%, public relations increased 3.7% and specialty communications increased 2.9%; CRM revenue decreased 1.3%. Salary and service costs increased 4.1% to $2,533.6 million, while office and general expenses decreased 3.3% to $493.6 million.
Cash and cash equivalents were $2,071.8 million at March 31, 2013, down from $2,678.3 million at December 31, 2012. The decline primarily reflected seasonal working-capital needs, including a $511.8 million use of operating capital, $273.5 million of common-stock repurchases and $38.2 million of capital expenditures. Foreign subsidiaries held $1,866.3 million of total cash.
Total debt was approximately $4,458.3 million based on carrying value, including $3,786.9 million of long-term notes, $659.4 million of convertible debt and $11.6 million of short-term borrowings. Omnicom had $3,419.7 million of available and unused credit lines, including a $2.5 billion committed facility. The company reported a 2.1x leverage ratio and an 11.0x interest-coverage ratio, within its covenant limits of no more than 3.0x and at least 5.0x, respectively.
Material changes versus the prior comparable period
- Revenue increased $91.6 million, or 2.8%, driven primarily by organic growth in the United States and emerging markets.
- Operating income increased $9.2 million, but operating margin declined slightly because operating expenses grew at approximately the same rate as revenue.
- Net interest expense increased to $40.9 million from $29.2 million, primarily due to interest on the $1.25 billion of 3.625% senior notes issued in 2012.
- Net income attributable to Omnicom was nearly unchanged, while diluted EPS benefited from lower weighted-average shares outstanding following stock repurchases.
- Operating cash flow deteriorated to a use of $209.7 million, compared with a use of $0.5 million in Q1 2012, largely due to seasonal working-capital requirements.
- Foreign currency translation reduced accumulated other comprehensive income by $172.8 million during the quarter, contributing to a decline in total accumulated other comprehensive income from $(129.5) million to $(300.4) million.
- Common-stock repurchases totaled 4.588 million shares in the open market, with total cash used for share repurchases of $273.5 million.
Guidance, outlook, risks and unusual items
Management expected 2013 revenue, excluding foreign-exchange effects and unforeseen events, to increase modestly in excess of weighted-average nominal GDP growth in its major markets. Management also expected foreign exchange to have a marginally negative effect on 2013 revenue based on exchange rates prevailing on April 15, 2013.
Management identified continuing Euro Zone economic weakness, potential reductions in client advertising and marketing spending, slower client payments, client credit risk, foreign-currency fluctuations, credit-market conditions, competition, personnel retention, technology dependence, regulatory changes and legal proceedings as principal risks. The company stated that it had not experienced a material loss from media purchases or production costs incurred for clients, but noted that such exposure could increase materially during a severe downturn.
Convertible notes with carrying values of $406.6 million and $252.7 million could be put back to Omnicom for repurchase on June 15, 2013 and July 31, 2013, respectively. Management expected available cash and unused credit commitments to be sufficient to fund any repurchase.
Legal proceedings were described as ordinary-course matters that were not expected to have a material adverse effect on results or financial position. No material changes to previously disclosed risk factors or market risks were reported. No goodwill impairment losses were recorded in the quarter.
