Material Changes Versus the Prior Comparable Period
- Revenue growth was strongest in other markets, primarily Asia and Latin America, which increased 17.5%; U.S. revenue increased 4.0%, U.K. revenue increased 2.4% and Euro-market revenue decreased 5.2%.
- Operating margin improved partly because Q1 2011 included $131.3 million of repositioning charges, including severance, lease termination and asset write-off costs.
- Q1 2011 also included a $123.4 million non-cash remeasurement gain related to the acquisition of a controlling interest in Clemenger Group. The absence of that gain in 2012 increased the reported year-over-year operating expense comparison.
- Excluding the 2011 repositioning charges and remeasurement gain, management stated that Q1 2011 operating margin would have been 10.5% and EBITA margin 11.1%, compared with 11.0% and 11.7% in Q1 2012.
- The effective tax rate increased to 32.8% from 25.5%. The 2011 rate benefited from tax effects of the repositioning charges and was affected by the Clemenger remeasurement gain and a $9.0 million tax-return adjustment.
- Weighted-average diluted shares declined to 277.5 million from 289.2 million, primarily reflecting share repurchases, supporting the increase in diluted EPS.
Guidance, Outlook, Risks and Unusual Items
Management expected 2012 revenue, excluding foreign-exchange effects, to increase modestly in excess of weighted-average nominal GDP growth in its major markets, driven by client spending and new business. Based on exchange rates prevailing April 13, 2012, management expected foreign exchange to reduce full-year 2012 revenue by less than 2%.
Management continued to target full-year 2012 EBITA margins at 2007 levels and expected further benefits from operational efficiencies, workforce actions and back-office consolidation. The company expected to fund its 2012 operating and discretionary requirements without additional long-term debt, although it could access capital markets if conditions were favorable.
- Economic weakness, particularly in Europe, could reduce client spending, delay client payments and impair operating results.
- Foreign-currency fluctuations, credit-market disruptions, interest-rate changes and counterparty risks could affect liquidity and results.
- The company routinely commits to media purchases and production costs on behalf of clients; a severe downturn or client default could increase potential losses.
- Convertible-note holders may put the 2032 notes back to the company for cash on July 31, 2012. Management believed available cash and credit capacity were sufficient to fund any repurchase.
- Unrecognized tax benefits were $159.3 million, of which approximately $61.7 million could affect the effective tax rate if resolved.
- No material changes were reported to the risk factors in the 2011 Form 10-K, and ordinary-course legal proceedings were not expected to have a material adverse effect.
Important Facts for Investors to Verify

- Evaluate operating cash generation, seasonal working-capital needs and the impact of share repurchases and dividends on liquidity.
- Review the July 31, 2012 put date for the 2032 convertible notes and the company’s liquidity after any repurchase.
- Track European economic conditions, foreign-exchange movements, client spending and potential client-payment or media-purchase exposures.
