Upstream product revenues increased to $1,929 million from $1,875 million. Oil revenues rose by $330 million, primarily from higher production volumes and slightly higher realized oil prices. Natural gas revenues fell by $277 million because realized natural gas prices declined 49% to $2.21/Mcf, partly offset by higher production. Market Optimization revenues declined $260 million to $456 million.
Total operating expenses were $1,858 million versus $1,873 million. Lower purchased product and transportation and processing costs were largely offset by higher depreciation, depletion and amortization, operating expenses and administrative costs. DD&A increased to $566 million from $364 million, primarily due to the expanded Permian asset base and higher depletion rates.
Interest expense increased to $98 million from $71 million, primarily due to senior unsecured notes issued in May 2023. The effective tax rate was 21.0%, compared with 20.6% in the prior-year quarter.
Balance sheet, debt and liquidity
- Cash and cash equivalents were $5 million at March 31, 2024, compared with $3 million at December 31, 2023.
- Long-term debt, including the current portion, was $6,198 million, up from $5,737 million at year-end 2023. The current portion increased to $745 million from $284 million.
- Commercial paper outstanding was $495 million, with a weighted-average interest rate of approximately 6.14%. Revolving credit facilities had $250 million drawn.
- Total liquidity was approximately $2,997 million, consisting of available credit facilities of $3,250 million, available uncommitted demand lines of $237 million and cash of $5 million, net of commercial paper.

- Shareholders’ equity was $10,262 million, compared with $10,370 million at December 31, 2023.
Material changes versus the prior comparable period
- Production increased 12%, primarily from the Permian assets acquired in June 2023, successful drilling and lower effective royalty rates.
- Oil and NGL production increased to 299.3 Mbbls/d from 252.2 Mbbls/d, while natural gas production increased to 1,648 MMcf/d from 1,555 MMcf/d.
- Realized natural gas prices declined 49%, reflecting lower AECO, NYMEX and Dawn benchmark prices. Total realized oil and NGL prices increased to $58.77/BOE from $55.80/BOE.
- Risk management produced a net loss of $54 million in revenues, compared with a net loss of $58 million in Q1 2023. Realized commodity risk-management gains were $46 million versus losses of $76 million, but unrealized losses were $100 million.
- Operating cash flow declined substantially because of unfavorable working-capital changes, lower realized commodity prices, higher operating costs and higher interest expense.

- Quarterly dividends increased to $0.30 per share from $0.25 per share, with $80 million paid during the quarter.
- Administrative expense increased to $102 million from $58 million, primarily due to long-term incentive costs and higher legal costs.
Guidance, outlook, risks and unusual items
- Management expects full-year 2024 capital investment of $2.2 billion to $2.4 billion. Q1 investment of $591 million was within the quarterly guidance range of $580 million to $620 million.
- Full-year 2024 production guidance is 560.0 to 575.0 MBOE/d, including approximately 204.0 to 208.0 Mbbls/d of oil and plant condensate, 88.0 to 92.0 Mbbls/d of other NGLs and 1,600 to 1,650 MMcf/d of natural gas.
- Management expects upstream transportation and processing costs of approximately $7.50 to $8.00/BOE, operating expenses of approximately $4.25 to $4.75/BOE, and production, mineral and other taxes of approximately 4% to 5% of upstream product revenues.
- For the remainder of 2024, the Company had hedged approximately 66.6 Mbbls/d of expected oil production and 800 MMcf/d of expected natural gas production.
- Key risks include volatile oil, NGL and natural gas prices; lower natural gas benchmarks; geopolitical and macroeconomic conditions; weather and demand changes; transportation and processing constraints; interest-rate and foreign-exchange exposure; counterparty credit risk; regulatory and environmental requirements; and integration and operating risks related to acquired Permian assets.
- Undiscounted commitments totaled $5.275 billion, including $4.874 billion for transportation and processing and $344 million for drilling and field services.
- Ovintiv estimates potential exposure related to its VMLP variable-interest arrangements at $1.180 billion, principally take-or-pay and potential minimum-cost commitments. The potential payout is highly uncertain and depends on future production, development pace and transportation constraints.
- The Company expects to receive proceeds later in 2024 from the resolution of a dispute involving previously disposed legacy assets and expects to recognize an approximately $150 million gain when received.
- Management does not expect existing legal proceedings to have a material adverse effect, although unfavorable outcomes could materially affect earnings in the period recognized. No material changes were reported to previously disclosed risk factors.
- Disclosure controls and procedures were effective as of March 31, 2024, with no material changes to internal control over financial reporting.
Most important facts for investors to verify
- Whether production growth from the Permian acquisition translates into sustainable free cash flow despite materially lower natural gas prices.
- Execution against the $2.2 billion to $2.4 billion full-year capital program and production guidance.
- Debt maturities, refinancing requirements and the effect of commercial paper and revolving borrowings on liquidity.
- The cash-flow impact and valuation of commodity hedges, including the $54 million Q1 net risk-management loss and remaining 2024 hedges.
- The potential timing and approximately $150 million amount of proceeds from the legacy-asset dispute resolution.
- Exposure to $4.874 billion of transportation and processing commitments and the uncertain $1.180 billion maximum exposure associated with VMLP arrangements.
- The pace of share repurchases and dividends relative to operating cash flow, capital expenditures and debt reduction.
