- Q2 sales increased 20%; management attributed growth principally to higher ORV, motorcycle and PG&A shipments, improved pricing and favorable product mix. Sales volume contributed 16 percentage points, mix and price 5 points, and currency reduced growth by 1 point.
- Q2 sales by product line: ORVs $701.5m (+13%); motorcycles $103.1m (+107%); small vehicles $43.5m (+29%); PG&A $159.7m (+20%); snowmobiles $6.2m (-27%).
- Q2 operating income rose 24% and net income rose 21%. Diluted EPS rose 26%, also benefiting from a 4% reduction in weighted-average diluted shares following the prior-year share repurchase. Q2 operating expenses increased 19%; higher selling and marketing costs included Indian motorcycle relaunch spending and increased product-liability provisioning.
- For the first six months, operating cash flow was $130.9m, versus $103.5m; investing cash outflow was $116.8m, versus $230.6m; financing cash inflow was $12.8m, versus a $69.7m outflow. Cash increased $26.8m to $119.0m.
Financial position and liquidity
- At June 30, cash was $119.0m and current assets were $993.4m, against current liabilities of $725.4m. Inventory was $559.9m, up from $417.9m at year-end 2013.
- Long-term debt was $337.0m; total debt and capital lease obligations were $367.6m, including $137.0m drawn on a $350m revolving facility. Management reported more than $200m of revolver availability and compliance with debt covenants. Debt to total capital was 35%, versus 12% at June 30, 2013.
- Capital expenditures were $101.6m for the first half. Management expected full-year 2014 capital expenditures of $200m–$250m, for manufacturing capacity and capability expansion and an additional headquarters building. Management said available cash, operating cash generation and borrowing capacity should fund foreseeable needs.
- Cash dividends paid were $0.48 per share in Q2; the July board declaration set another $0.48 per-share dividend payable in September.
Material changes, outlook and risks
- Sales growth was broad-based, though North American ORV dealer inventories increased at a low-teens rate year over year, partly reflecting new product categories. Indian motorcycle shipments supported motorcycle growth; Victory retail sales declined mid-single digits, which management attributed largely to a May recall.
- Polaris acquired Kolpin Outdoors on April 1, adding an ORV accessories brand. The preliminary allocation included $4.3m of goodwill and $11.1m of acquired intangible assets; acquisition cash outflow, net of cash acquired, was $17.2m.
- No full-year earnings or sales guidance was provided in the filing. Results are seasonal and may not indicate full-year performance. Management expected commodities to have a neutral gross-margin impact for the remainder of 2014 versus the prior year; currency effects were expected to vary by currency, with negative CAD and AUD impacts and positive yen and peso impacts indicated.
- The effective tax rate was 36.8% in Q2 and 36.1% year to date, compared with 35.9% and 31.6%. Management cited the absence, so far, of a 2014 U.S. R&D tax credit and prior-year tax benefits.
- Product-liability litigation accrual was $26.0m at June 30. The dealer-financing arrangement carried a potential 2014 product repurchase obligation of approximately $120.8m, subject to the stated annual cap; the company reported no material losses under the arrangement. Dealer receivables financed under the arrangement totaled $879.6m.
- Other identified risks include foreign-exchange and commodity fluctuations, warranty costs, weather, product safety and regulatory matters, litigation, acquisition integration, consumer demand and retail/wholesale credit conditions. The filing reported no material changes to previously disclosed risk factors or market risks, and no material changes to internal controls.
