- Sales growth was primarily acquisition-related, including $407.1 of Pet Food sales and $19.5 from Perfection Pet Foods. Excluding those additions, Post Consumer Brands volumes declined 7%.
- Operating profit increased, but higher net interest expense and a $21.1 expense on interest-rate swaps (versus $12.3 of swap income a year earlier) contributed to lower net earnings. The prior-year period also included $5.0 of discrete share-based-payment tax benefits.
- Cash used in investing activities was $333.8, including $252.7 of net acquisition payments and $80.8 of capital expenditures. Financing activities provided $206.3; cash, cash equivalents and restricted cash increased $48.8 to $166.0.
- At December 31, 2023, cash and cash equivalents were $150.6, restricted cash $15.4, and current assets $1,660.7 versus current liabilities of $835.3. Long-term debt was $6,314.0, plus $1.1 current debt; principal indebtedness was $6,323.7.
- Revolving credit borrowings were $300.0, with $429.5 of available capacity after letters of credit. The company was in compliance with its debt covenants, including the minimum 2.00:1.00 interest coverage covenant.
Material changes and segment results
- Post Consumer Brands: Sales rose 78% to $988.6 and segment profit rose 67% to $132.7, primarily reflecting the acquired Pet Food business and Perfection. Segment margin was 13% versus 14%; excluding acquired businesses, volumes declined 7%.
- Weetabix: Sales increased 9% to $129.1, including favorable currency effects and Deeside; segment profit decreased 2% to $21.0. Branded volumes declined.
- Foodservice: Sales fell 6% to $567.1 and segment profit fell 4% to $75.7. Lower egg selling prices and higher manufacturing costs were partly offset by lower raw-material and freight costs.
- Refrigerated Retail: Sales declined 4% to $280.9, while segment profit rose 70% to $35.6, reflecting lower manufacturing, raw-material and freight costs. The filing cites distribution losses in egg and dairy products.
- Total assets increased to $12,072.4 from $11,646.7 at September 30, 2023. Long-term debt increased by $275.0, mainly reflecting $300.0 of net revolving-credit borrowings, partly offset by debt repayments.
Outlook, risks and unusual items
- No specific numerical financial guidance is provided in the filing. Management expects inflationary pressures to persist across some input costs during FY2024, while other input-cost pressures have eased.
- Management says it expects positive operating cash flow and believes cash, operating cash flow and available credit facilities will meet foreseeable funding needs. This depends on economic conditions, competitive pressures and other business risks.
- Avian influenza outbreaks occurred during the quarter but did not materially affect reported results. Further outbreaks could materially adversely affect results if not mitigated. Management also cites consumer shifts toward private-label and value products, which have pressured volumes in several segments.
- Post acquired substantially all Perfection Pet Foods assets for stated consideration of $235.0, with closing payment of $238.8 subject to adjustments, and acquired Deeside Cereals for approximately $14.3. Preliminary purchase accounting remains subject to change. Deeside generated a $6.2 bargain-purchase gain; Perfection contributed $19.5 of sales and $0.1 of operating profit for the quarter.
- The company recorded $7.5 of restructuring charges for the planned closure of its Lancaster, Ohio cereal facility; closure and production transfers are expected to be completed by the end of FY2024. Total expected charges are $7.8.
- Material risks include high leverage and interest costs, input-cost and supply-chain volatility, pricing and consumer-response risks, acquisition integration and synergy execution, avian influenza, and potential impairment of goodwill or intangibles. Management says pending legal matters are not expected to be material; no material changes to previously disclosed risk factors were reported.
