Business context and reporting period
PPL Corporation’s combined Form 10-K covers the fiscal year ended December 31, 2014; it is an annual filing, not a standalone quarterly report. PPL operates regulated electric and gas utilities in the U.K. and U.S., alongside competitive generation and energy marketing. The filing includes quarterly data; fourth-quarter figures are identified below where available. Unless noted, amounts are in U.S. dollars.

Fourth-quarter 2014 results included revenue of $4.023 billion, operating income of $983 million, net income of $695 million and diluted EPS of $1.04. The quarter included a $137 million after-tax gain on the Montana hydroelectric sale.
FY 2014 segment net income attributable to PPL shareowners: U.K. Regulated $982 million; Kentucky Regulated $312 million; Pennsylvania Regulated $263 million; Supply $307 million; Corporate and Other loss $127 million. PPL reported $3.689 billion of unused U.S. committed credit capacity and £888 million of unused U.K. capacity at year-end. These facility figures span entities and should not be added to infer parent-only liquidity.
Material changes versus the prior comparable period
- Revenue declined 1.9%, while operating income rose about 44% and net income rose about 54% year over year.
- The improvement reflects substantial unusual items: 2013 included a $697 million pre-tax Colstrip lease-termination charge ($413 million after tax); 2014 included a $237 million pre-tax gain on the Montana hydro sale ($137 million after tax for PPL). Supply segment earnings also benefited from the sale, while underlying competitive energy margins declined.
- Regulated earnings increased across all three segments. U.K. utility revenue growth was partly offset by weather-related lower volumes and line-loss adjustments; Kentucky and Pennsylvania results benefited from rate recovery, investment returns and capital additions.
- Operating cash flow increased by $546 million. Year-end cash rose, but short-term debt also increased to $1.466 billion; long-term debt, including current maturities, was $20.391 billion.
Outlook, commentary, risks and unusual items
- PPL expected higher 2015 earnings from its regulated businesses after adjusting for special items and excluding Supply earnings: U.K. and Kentucky earnings were projected higher, while Pennsylvania earnings were projected lower. No 2015 earnings forecast was provided for Supply because of the planned separation.
- PPL expected the Talen Energy transaction to close in the second quarter of 2015. PPL shareholders were to own 65% of Talen Energy and Riverstone affiliates 35%; completion remained conditional on approvals and other requirements. FERC approval included market-power remedies requiring divestiture of one of two generating-asset groups of approximately 1,300 MW.
- PPL completed the sale of 633 MW of Montana hydroelectric facilities for approximately $900 million in November 2014. The company planned about $19.7 billion of capital expenditures for 2015–2019, including $2.4 billion of environmental expenditures; LKE’s projected environmental investment was $2.2 billion.
- Management targeted approximately $75 million in annual ongoing corporate support cost reductions following the separation, excluding transition services; separate transaction materials also described a broader $185 million target incorporating costs eliminated or transferred to Talen. Verify the scope and timing of savings.
- Key risks include competitive power-price and capacity-margin weakness, fuel and plant availability, foreign-exchange exposure, pension funding, collateral demands, regulatory cost recovery, and environmental compliance. PPL estimated potential additional collateral of approximately $427 million for PPL and $321 million for Supply under a specified downgrade and adverse energy-price scenario; management stated liquidity was adequate at year-end.
- Material uncertainties include pending Kentucky rate cases, unresolved regulatory and environmental matters, and proposed or evolving rules on carbon emissions, coal-combustion residuals and wastewater. Environmental compliance costs and potential impacts were not fully determinable. The filing also disclosed litigation involving Colstrip, Cane Run, Mill Creek and other matters.
- Unusual items included $50 million of deferred tax expense tied to the planned spin-off, $27 million of transaction and transition costs, $36 million of Supply separation benefits, and a separate estimated $30–$40 million of additional employee-related costs expected at closing. The auditor issued an unqualified opinion; PPL reported effective internal control over financial reporting.
Most important facts for investors to verify
- Reconcile reported earnings and EPS to recurring results, particularly the Montana sale gain, Colstrip lease charge, hedge effects and separation-related costs.
- Confirm the Talen transaction’s closing conditions, required divestitures, final ownership and tax treatment, and the effect of transferring or eliminating corporate costs.
- Review the 2015 Kentucky rate-case outcomes, the timing and recovery of planned capital and environmental spending, and the impact of U.K. RIIO-ED1 revenue and incentive changes.
- Assess liquidity and refinancing needs against the $1.535 billion of 2015 debt maturities, planned 2015 borrowing, credit ratings and potential collateral requirements.
- Track outcomes and potential exposure from environmental rules, legal proceedings, pension assumptions and the contingent indemnities disclosed in the filing.
