- Margins: Tax-equivalent net interest margin was 3.75% in Q3, down from 4.09%; for the first nine months it was 3.86%, down from 4.16%. Management cited low rates and the Vision divestiture.
- Cash flow: Nine-month operating cash flow was $95.2 million, investing cash outflow $177.7 million, and financing cash inflow $206.3 million. Cash and equivalents rose $123.8 million to $281.3 million.
- Balance sheet at September 30: Assets were $6.75 billion, down from $6.97 billion at year-end 2011; loans were $4.40 billion, up from $4.32 billion; deposits were $4.79 billion, up from $4.47 billion. The allowance for loan losses was $55.6 million, or 1.26% of loans.
- Credit quality: Nonperforming loans were $193.5 million, down from $227.2 million at December 31, 2011. Nonperforming assets were $229.1 million, or 3.39% of assets. Nine-month net charge-offs were $43.1 million versus $79.3 million in 2011.
- Debt and capital: Short-term borrowings were $275.9 million, long-term debt $806.3 million, and subordinated debentures/notes $105.3 million. Park’s leverage, Tier 1 risk-based, and total risk-based capital ratios were 9.03%, 13.13%, and 16.32%, respectively. It issued $30 million of 7% subordinated notes and repurchased $100 million of Treasury preferred shares during 2012.
- Dividends: Common dividends declared were $0.94 per share for Q3 and $2.82 for the nine-month period.
Material changes versus comparable periods
- Q3 net income fell 41.2% year over year; nine-month net income fell 12.9%. Net interest income declined 14.2% in Q3 and 13.8% for nine months, largely reflecting the Vision sale and lower interest rates.
- Q3 results included a $13.0 million charge-down and matching loan-loss provision for one SEPH loan relationship, including PNB’s participation. Management cited concerns about collection of a significant third-party receivable.
- Nine-month provision expense declined from 2011, and management reported improving credit trends in the Ohio commercial portfolio. The allowance also fell partly because Vision-related reserves were removed with the sale and runoff restructuring.
- Total assets and liabilities declined mainly because of the Vision transaction and removal of assets and liabilities previously classified as held for sale. Deposits grew during 2012, largely from public funds.
Outlook, risks and unusual items
- Management projections for 2012: Net income approximately $80.8 million, net interest income $235.2 million, provision for loan losses $35.5 million, total other income $70.7 million, and other expense $184.4 million. The net-income projection was reduced from approximately $97 million, principally due to weaker SEPH results and low rates. These are management projections, not guarantees.
- Management projected Q4 net interest income of about $56.7 million and net income of $18.4 million. It expected low short-term rates to persist and a Q4 net interest margin of approximately 3.71%.
- Centennial’s loan put-back option covered up to $7.5 million of principal. It had put back approximately $6.4 million by September 30; the remaining approximately $1.1 million was repurchased in October. The liability reserved for expected write-downs was $810,000 at quarter-end.
- SEPH retained Vision nonperforming loans and real estate. Management is winding down this portfolio; further credit deterioration, collateral-value declines, collection delays, or OREO sale discounts could affect results. The single large loan relationship and significant third-party receivable are notable credit risks.
- Other stated risks include local economic and real-estate conditions, borrower defaults, interest-rate and liquidity exposure, regulation, competition, and operational or cybersecurity failures. A rate-sensitivity model projected net income down 7.23% under its declining-rate scenario over 12 months. Management reported no material pending legal proceedings and effective disclosure controls.

- Actual margin and funding trends as low rates persist, including the effect of loan growth and public-fund deposit movements.
- Capital and liquidity after the preferred-share repurchase, subordinated-note issuance, dividends, and any changes in borrowing capacity or regulatory requirements.
