Reporting period: Fiscal year ended December 31, 2020. The filing is an annual report, not a standalone Q4 filing; selected unaudited quarterly results are also disclosed. Amounts below are in U.S. dollars.
Business context
Proto Labs provides digitally quoted, quick-turn custom manufacturing for prototypes and short-run production, primarily through injection molding, CNC machining, 3D printing and sheet metal fabrication. It operates in the United States, Europe and Japan. No customer represented more than 2% of FY2020 revenue; approximately 93% of revenue came from existing customers.

FY2020 revenue declined 5.3%, operating income declined 25.1%, and net income declined 20.1% year over year. Lower revenue and reduced factory utilization, along with Protolabs 2.0-related expenses, contributed to lower operating results. Gross margin fell 1.2 percentage points.
For Q4 2020, revenue was $105.2 million, operating income $11.0 million, net income $9.6 million and diluted EPS $0.36. Versus Q4 2019, revenue declined approximately 6%, operating income approximately 44%, and net income approximately 37%.
At year-end, cash and cash equivalents were $127.6 million, marketable securities totaled $93.4 million, working capital was $191.7 million and total liabilities were $99.8 million. The company reported no financing arrangements; finance and operating lease liabilities totaled $2.5 million and $10.9 million, respectively. Operating cash flow exceeded net income; investing activities used $95.5 million, including $47.0 million of capital expenditures and purchases of marketable securities. Financing activities used $10.7 million, including $14.7 million of share repurchases.
Material changes and developments
- Unique purchasing product developers and engineers fell 15.7% to 40,267. Management attributed the revenue decline principally to reduced customer activity amid COVID-19-related uncertainty and restrictions.
- CNC Machining revenue fell 15.4%; Sheet Metal fell 10.3%. Injection Molding increased 0.3% and 3D Printing increased 1.9%.
- R&D expense increased 13.0% to $36.9 million, primarily reflecting Protolabs 2.0 personnel costs. Stock-based compensation rose to $14.7 million from $10.8 million.
- Protolabs 2.0 launched in Europe in Q4 2020 and in the United States in Q1 2021. Management expects it to improve customer experience, speed, scalability and productivity.
- After year-end, on January 22, 2021, Proto Labs acquired 3D Hubs for $294.4 million, comprising $127.7 million cash and $166.7 million in stock, with up to $52.8 million additional contingent consideration. The acquisition is not reflected in FY2020 results.
- CEO Victoria Holt was expected to retire effective March 1, 2021, with Robert Bodor succeeding her.
Outlook, risks and unusual items
Management said the pandemic’s duration and economic effects made near-term conditions difficult to predict; it provided no specific revenue or earnings guidance. It expects long-term customer growth and anticipates future investment in technology, personnel, facilities and equipment. Management estimated future growth capital expenditures, excluding buildings and maintenance, at approximately 8%–12% of revenue.
Key risks include COVID-19 impacts on customer demand and cash flows; competition and pricing pressure; execution and disruption risks from the new e-commerce and back-end systems; operational interruptions and cybersecurity; international, currency and Brexit-related exposure; and attracting and retaining personnel. The company does not hedge foreign currency exposure. It stated that an adverse 10% currency move could materially affect operating results, though it would generally not materially affect financial position.
The company recognized no goodwill or intangible-asset impairment in 2020. It reported no litigation expected to have a material adverse effect and no off-balance-sheet arrangements. The financial statements received an unqualified audit opinion, and management and the auditor concluded internal control over financial reporting was effective.
