Palatin Technologies, Inc. — FY2020 Form 10-K
Period clarification: This filing covers the fiscal year ended June 30, 2020, not calendar 2019 Q4. It also provides unaudited quarterly results, including the quarter ended June 30, 2020.
Business context
Palatin is a clinical-stage biopharmaceutical company developing melanocortin- and natriuretic-peptide-receptor medicines. Its lead product, Vyleesi (bremelanotide), was FDA-approved in June 2019 for premenopausal women with HSDD. After year-end, Palatin regained North American rights and assumed U.S. commercialization following termination of its AMAG license.
Financial performance and liquidity
| Metric | FY2020 | FY2019 |
|---|---|---|
| Revenue | $0.118 million | $60.300 million |
| Research and development expense | $13.959 million | $14.857 million |
| General and administrative expense | $9.765 million | $9.699 million |
| Net income (loss) | $(22.426) million | $35.773 million |
| Basic and diluted EPS | $(0.10) | $0.17 basic; $0.16 diluted |
| Net cash from (used in) operations | $41.326 million | $(21.783) million |
- FY2019 revenue included a $60 million FDA-approval milestone from AMAG; FY2020 revenue was limited to AMAG-related cost billings. The prior-year profit therefore did not reflect recurring product sales.
- FY2020 operating cash flow chiefly reflected collection of the $60.266 million AMAG receivable recorded in FY2019; it should not be read as evidence of positive operating economics.
- At June 30, 2020, cash and cash equivalents were $82.852 million, current assets $83.590 million, current liabilities $3.928 million, total liabilities $4.881 million, and stockholders’ equity $80.173 million. No notes payable remained on the balance sheet.
- The company reported an accumulated deficit of $318.199 million. Operating margins were negative in FY2020; the filing does not present a useful product-sales margin measure.
- Management said June 30 cash was expected to fund planned operations through at least September 2021, while noting additional funding would be required for later clinical development.
Material changes, outlook and risks
- Vyleesi transition: AMAG and Palatin terminated their license effective July 24, 2020. Palatin received $12 million at closing and was due another $4.3 million by March 31, 2021. Palatin assumed manufacturing contracts and U.S. commercialization responsibilities; the filing cautions that Vyleesi sales cannot be forecast reliably and anticipates a net loss from Vyleesi sales for FY2021.
- At July 24, 2020, assumed Vyleesi inventory-purchase commitments under manufacturing and supply agreements totaled $24.320 million, including $5.190 million due within one year. Minimum purchase obligations and potential termination fees also apply.
- Pipeline plans included PL9643 dry-eye Phase 2 data expected as early as Q4 2020, with Phase 3 potentially starting in mid-2021 if results supported advancement; an oral PL8177 ulcerative-colitis Phase 2 study was planned for the first half of calendar 2021. These are forward-looking plans, not guaranteed milestones.
- PL8177 was also being studied preclinically for COVID-19-related respiratory indications. Palatin said it might not start a Phase 2 study without external funding or support. PL3994 Phase 2A work was planned for late 2020 with academic collaborators and grant support; Palatin did not intend to develop it as a commercial product because of limited patent term.
- Key risks include uncertain Vyleesi demand and reimbursement, competition, reliance on contract manufacturers and a third-party autoinjector supplier, clinical and regulatory failure or delay, and the need for additional financing. COVID-19 could disrupt trials, supply, commercialization and access to capital.
- Vyleesi carries important safety precautions, including contraindications for uncontrolled hypertension or known cardiovascular disease, and FDA-required postmarketing studies and a lactation clinical trial. No current material legal proceeding was reported.
- The auditor issued an unqualified opinion on the consolidated financial statements. Management reported effective disclosure controls and internal control over financial reporting; the auditor was not engaged to opine on internal-control effectiveness.
