For Q3, gross margin narrowed 0.3 percentage points year over year while operating margin improved 0.7 points. For the nine-month period, gross margin declined 0.5 points, while operating margin improved 0.5 points. Net income growth benefited in part from prior-year Starry investment losses and lower effective tax rates; Q3 effective tax rates were 22.1% versus 31.8%, and nine-month rates were 21.1% versus 26.3%.
Segments and operating trends
- Q3 revenue: Electric Power $2.490B (+9.1%); Renewable Energy $1.747B (+78.5%); Underground and Infrastructure $1.385B (+15.5%). All segments grew, led by Renewable Energy.
- Q3 segment operating margins: Electric Power 11.9% (11.2% prior year); Renewable Energy 8.7% (9.1%); Underground and Infrastructure 8.9% (8.5%). Renewable Energy margin faced project timing variability and unabsorbed fixed costs.
- Management cited utility grid modernization, transmission and distribution investment, renewable generation and interconnection demand, and gas utility and pipeline work as demand drivers. Solar-component supply constraints were expected to improve through the remainder of 2023.
Cash flow, liquidity and debt
- Nine-month operating cash flow was $572.4M, compared with $547.2M a year earlier. Capital expenditures were $325.4M; cash flow after capital expenditures was approximately $247.0M.
- Investing cash outflow was $722.3M, including $472.6M for acquisitions. Financing cash inflow was $31.1M. Cash and cash equivalents ended at $305.4M, down from $428.5M at December 31, 2022.
- Total debt obligations were $3.982B at September 30, 2023, versus $3.730B at year-end 2022. The balance included $965.8M in senior credit facility borrowings and $396.8M in commercial paper. Variable-rate borrowing costs increased: nine-month weighted average rates were 6.39% for the senior facility and 5.79% for commercial paper.
- Available senior credit facility commitments were $1.702B; together with cash, reported available liquidity was $2.008B. Quanta reported compliance with credit-facility financial covenants. It expects cash flow, cash on hand and borrowing capacity to meet requirements over the next twelve months and longer term.
- Working capital absorbed cash, including increases in receivables and contract assets. DSO was 79 days, versus 81 days a year earlier. Management said Canadian renewable transmission project claims and supplier prepayments continued to weigh on cash flow.
Outlook, unusual items and risks
- Management expects strong demand to continue. Remaining performance obligations were $13.56B, up 54.1% from December 31, 2022; backlog was $30.10B, up 24.9%. The filing does not provide a specific earnings or revenue guidance range. Backlog includes estimated MSA and non-fixed-price work that may be cancelled or changed and is not equivalent to firm contracted revenue.
- Revenue recognized on unapproved change orders and claims was $799.5M, up from $549.3M at year-end. The largest component and much of the increase related to a Canadian renewable transmission project. A single customer tied to that project represented 14% of receivables at quarter-end. Collection, contract-estimate changes and project execution are significant uncertainties.
- Four businesses were acquired during the first nine months for estimated total consideration of $622.5M, including cash and Quanta shares. In October, after quarter-end, Quanta acquired a transformer manufacturer for approximately $300M, including about $275M in cash, funded partly with commercial paper.
- Peru dispute: an arbitration tribunal awarded Redes approximately $177M, but enforcement and annulment proceedings remain pending; Quanta has not recognized a gain on the award. Failure to collect could result in an additional significant loss. Separate treaty arbitration decision was expected in the first half of 2024.
- Other disclosed contingencies include wage-and-hour litigation remanded for further proceedings, explosion-related litigation assumed with the Hallen acquisition, and indemnity demands related to the Silverado wildfire. No accrual was recorded for the Hallen or Silverado matters; potential losses were uncertain or not reasonably estimable. Outstanding performance bonds were estimated at $7.0B, with estimated costs to complete bonded projects of $2.7B.
- Other notable items: Quanta released a $22.7M valuation allowance associated with Starry losses after the investment became realized; its Starry equity was cancelled in bankruptcy. A new $500M share repurchase authorization became effective July 1, 2023, but no open-market repurchases were made during Q3. Dividends declared during 2023 were $0.08 per share per quarter.
- Principal risks include fixed-price project cost overruns, delays and cancellations, labor and supply constraints, inflation and interest rates, weather and wildfire exposure, customer collection and claim recovery, acquisition integration, and litigation and insurance coverage. Management reported disclosure controls effective as of September 30, 2023; it was integrating the four acquired businesses into internal financial controls.
Investor verification priorities
- Track collection, negotiation and final resolution of the Canadian project’s unapproved claims, related receivables and working-capital impact.
- Assess backlog quality and conversion, particularly MSA estimates, project timing, cancellations and renewable-energy margins.
- Monitor debt, variable-rate interest expense, commercial-paper capacity and liquidity after the October acquisition.
- Follow Peru award enforcement and treaty arbitration, plus updates on wildfire, Hallen and wage litigation and related insurance protection.
- Separate underlying operating growth from acquisition contributions and unusual tax, investment and contract-estimate effects.
